This position will primarily focus on representing banks, financial institutions, and other lenders in commercial real estate lending and finance transactions.\nThis is an excellent opportunity for an attorney who enjoys sophisticated transactional work, direct client interaction, and managing commercial lending matters from due diligence through closing. The attorney will work closely with financial institutions and their lending teams on a variety of real estate/non real estate-secured transactions throughout Florida.\nResponsibilities\nThe attorney will advise and represent lenders in commercial real estate financing transactions, including:\nDrafting, reviewing, and negotiating loan agreements, promissory notes, mortgages, lease mortgages, assignments of leases and rents, security agreements, guaranties, and other loan and collateral documents.\nManaging commercial loan transactions from initial due diligence through closing and post-closing.\nReviewing title commitments, surveys, organizational documents, UCC searches, insurance documentation, and other due diligence materials.\nIdentifying and addressing legal and transactional issues that may affect the lender, its collateral, or the closing of a transaction.\nWorking directly with banks, financial institutions, loan officers, relationship managers, borrowers, opposing counsel, title companies, and other transaction professionals.\nAssisting with a variety of financing transactions, which may include acquisition financing, construction and development loans, refinancings, loan modifications and extensions, and other secured lending transactions.\nProviding practical, responsive counsel to clients throughout the transaction process.\nWhile the primary focus of the position will be lender representation and real estate finance, the attorney will also have opportunities to work on other commercial real estate matters, including acquisitions, dispositions, development, leasing, and related transactions.\nRequirements\nQualifications\nThe ideal candidate will have:\n3+ years of relevant transactional legal experience.\nExperience with commercial real estate lending, finance, or secured transactions, with lender-side representation strongly preferred.\nExperience drafting and negotiating commercial loan and real estate transaction documents.\nFamiliarity with title, survey, and other real estate due diligence.\nFamiliarity with the Uniform Commercial Code.\nStrong drafting, analytical, organizational, and problem-solving skills.\nThe ability to manage multiple transactions and deadlines while providing responsive client service.\nExcellent written and verbal communication skills.\nStrong academic credentials.\nAdmission to practice law in Florida and membership in good standing with The Florida Bar.\nAs part of the interview process, candidates may be asked to provide law school transcripts and a writing sample.\nAbout Company\nFor more than four decades, Dean Mead has provided legal representation to businesses and individuals throughout Florida.
