M&A Technology & Operations - Associate / Senior Associate (A/SA), New York

Technology Due Diligence, Integration & Carve-Out  |  Strategy & Deals  |  Alpha FMC

We are expanding our M&A team. We are hiring Associates and Senior Associates in London to work on the technology and operations side of transactions in financial services: technology due diligence, technology-led value creation, and the technology content of integrations and carve-outs.

Our 1,500+ consultants work across 19 offices worldwide, combining deep sector expertise with hands-on delivery to support more than 970 clients across asset management, wealth management, insurance, and broader financial services.

We are expanding our Technology Due Diligence offering within the Strategy & Deals team and are seeking experienced professionals to lead high-profile buy-side and sell-side engagements. Our engagements deliver targeted assessments of technology risk, value creation potential, and operational resilience - enabling investors and corporate clients to make well-informed transaction decisions.

Alpha FMC is PE-backed with material investment committed to growing our Strategy & Deals practice, and Integration & Separation is a strategic priority. The chosen hire will not simply deliver engagements, they will help define how we take this capability to market, shape our service offerings and delivery approach, and build the team around them. From day one, you will carry real client responsibilities and have a direct hand in determining the success of the practice.

Level Guidance

We are open at both the Associate and Senior Associate level, depending on candidate experience:

  • Associate (A): typically 1.5+ years of relevant experience; able to independently deliver defined analyses and project modules with appropriate guidance.
  • Senior Associate (SA): typically 3+ years of relevant experience; able to lead substantial workstreams, structure analysis, manage junior colleagues and contribute confidently to client discussions.

Key Responsibilities

The responsibilities below apply across both levels; Senior Associates are expected to take greater ownership of project delivery.

Technology Due Diligence

  • Run technology due diligence workstreams end to end on buy-side and sell-side deals: scope the questions that matter to the investment thesis, interrogate the data room, lead management sessions with CTOs and engineering leaders, and write the report.
  • Form and defend a view on a target's technology application and platform landscape, architecture and integration patterns, hosting and infrastructure, engineering practice, and the condition of the underlying data.
  • Test whether the technology can carry the business plan: volume growth, new products, new markets, more assets under management, and say what it would cost to get there.
  • Translate technical findings into the language investors use: value at risk, value creation upside, cost to fix, and the two or three findings that would change the decision.
  • On sell-side and vendor diligence, build the technology story and make the estate defensible before a buyer tests it, pre-empting the questions the other side will ask.
  • Where the target is a fintech or software platform, assess the product as a product: architecture and scalability, multi-tenancy, roadmap credibility against engineering capacity, data assets, and the commercial position of the product in its market.
  • Assess enterprise technology estates in a transaction context: the core platforms this sector runs on (order management and portfolio accounting, custody and fund accounting, wealth and adviser platforms, policy administration, claims, broking), the integration layer around them, and the manual workarounds holding it together.
  • Size and evidence technology debt, end-of-life and unsupported platforms, single points of failure, key-person dependency, deferred remediation and set out what each means over the hold period.
  • Assess cyber security and operational resilience proportionately to the deal: identity and access, vulnerability management, third-party and supply chain exposure, incident history, and the regulatory expectations that apply to a regulated target.
  • Assess data architecture, data quality and data platforms, and whether the target can support the reporting, analytics and client demands the plan assumes.
  • Take a view on AI: what is deployed and working, what is a pilot, what is a slide, and where it credibly changes the target's cost base, product or competitive position.

Integration & Separation

  • Support integration and separation planning from pre-signing through Day 1: deal impact assessment, Day 1 close requirements, and the operating model changes that follow across technology, operations and business functions.
  • Own the technology content of an integration or separation, application and infrastructure integration or disentanglement, data migration, network, identity and end-user computing - and the Day 1 cutover plan that has to work first time.
  • On carve-outs, define the standalone technology and operations footprint, cost and draft the TSA schedules that keep the business running, and plan the exit from them.
  • Build and maintain the synergy and cost models: technology and operations synergies, one-off integration or separation costs, stranded cost, and benefit realisation across the hold period.
  • Support Day 1 mobilisation and the integration management office - workstream structure, decision cadence, milestones and dependencies - and run the cross-functional workshops that validate the plan.

Client & Stakeholder Management

  • Opportunity to face off with senior client stakeholders, including Heads of Business Units, CFOs, COOs, and CTOs.
  • Prepare and run cross-functional workshops and management sessions: build the question set and pre-read, chair the discussion, and own the follow-ups.
  • Write deliverables that lead with the answer: structured, evidenced, and short enough to be read by an investment committee.

Team & Practice

  • Support business development efforts, including proposals, client pitches, and thought leadership.
  • Mentor and develop associates and interns; promote knowledge sharing across the team.

What We’re Looking For

  • A real technology background. You have worked in or advised on technology - enterprise or solution architecture, cloud and infrastructure, application landscapes, software engineering, data platforms or cyber.
  • Experience in the Financial Services industry is preferred but not essential. Candidates should at minimum have a keen interest in the industry and a grasp of key trends.
  • Advanced Excel proficiency, including building cost / benefit financial models and developing financial bridges and synergy dashboards.
  • Ideal if the candidate has experience of supporting large transformation programs and/or supporting IT / Operational or Business Functional workstreams independently.
  • Excellent analytical, problem-solving, and communication skills, with the ability to distil complex findings into actionable insights.
  • Good understanding of financial services operating models, technology landscapes, and regulatory considerations.

There are a wide range of factors that are considered in making compensation decisions including but not limited to - skill sets, experience and training, and licensure and certifications. The base salary range for this position is:  $105,000 to $195,000  and is subject to change based on salary benchmarking. In addition to this salary, employees would be eligible for both variable and non-variable benefits
