As part of the M&A team, your role will be to assist the 3-member M&A team in all their activities along with 2 M&A lawyers\nSPECIFIC RESPONSIBILITIES OF THE MISSION:\n1 -Support the M&A department's day-to-day activities\nDeal screening and evaluation\nReview and assess new acquisition opportunities.\nSupport the evaluation of strategic rationale, potential synergies, risks, and transaction feasibility.\nConduct market, industry, and competitor analyses.\n\nTransaction execution\nSupport the execution of acquisition projects throughout the transaction lifecycle.\nPrepare internal presentations, approval materials, and investment committee documentation.\nCoordinate due diligence activities with internal stakeholders and external advisors.\nAssist with financial due diligence reviews.\nContribute to the preparation of business plans and valuation models.\nSupport SPA review and negotiations.\nMonitor closing and post-closing activities.\n\n Divestment projects\nSupport disposal processes, including defining the disposal perimeter and transaction strategy.\nAssist in the preparation of teasers, information memoranda, and virtual data rooms (VDRs).\nParticipate in interactions with prospective buyers and advisors.\nContribute to business plan preparation, valuation analyses, and carve-out assessments.\nSupport transaction documentation review and post-closing follow-up.\n\nPortfolio management and integration\nAssist with monitoring the portfolio of joint ventures and any related restructuring projects.\nSupport post-merger integration planning and business plan implementation activities.\n\nReporting\nPrepare periodic reports and presentations on the progress of acquisitions, disposals, and strategic projects.\n\n2 - Special projects\nConduct ad hoc strategic, financial, and market analyses to support the M&A team in relation with non-M&A, business development activities (including joint ventures and special missions)\nDuring M&A activity downtime, possibly provide support to the Investor Relations team on recurring activities, including:\nPreparation of investor communication materials and presentations.\nMonitoring industry benchmarks and analysing Alstom's shareholder base.\nReviewing sell-side analysts' research reports, recommendations, and target prices.\nUpdating internal valuation models using actual performance and forecast data.\nSupporting order intake forecasting and reforecasting exercises.\n\nThis list is not exhaustive.\nSkills to be developed\nThe internship provides exposure to corporate finance and different operating and support teams of Alstom, valuation, M&A execution, due diligence coordination, strategic analysis, investor relations, and post-merger integration within a global industrial group.\nYou don’t need to be a train enthusiast to thrive with us.
