Learn more about our benefits.\nPosition Summary\nApplied Materials is seeking an experienced and business-oriented Senior Commercial Transactions Counsel to provide legal support for the company's global procurement, engineering, facilities, technology, and business operations functions. This role will serve as a trusted legal advisor to business stakeholders, leading the drafting, review, negotiation, and execution of a broad range of commercial contracts while balancing legal risk, operational requirements, and business objectives.\nThe ideal candidate will be a seasoned commercial transactions attorney with substantial post-qualification experience, including in-house commercial contracting experience at a multinational corporation and preferably prior experience in a leading law firm.\nThe candidate should have strong attention to details, be responsible and accountable, creative and pro-active in servicing their internal clients.\nThe position requires strong commercial judgment, contract negotiation skills, stakeholder management capabilities, and the ability to independently manage high volumes of complex transactions in a fast-paced global environment.\nKey Responsibilities\nCommercial Transactions & Contracting\nDraft, review, negotiate, and advise on a broad range of commercial agreements, including:\nSupply and procurement agreements\nTechnology and software agreements\nProfessional services and consulting agreements\nFacilities and workplace services agreements\nEquipment acquisition and maintenance agreements\nEvaluation, pilot and proof-of-concept agreements\nNon-disclosure agreements\nStrategic sourcing and indirect procurement agreements\nSaaS, cloud, AI and digital transformation agreements\nPartner with Procurement & Sourcing, Engineering, Operations, Facilities, EHS, HR, Finance, IT, and other Applied business groups to structure and negotiate commercial transactions aligned with business objectives.\nProvide practical legal guidance on risk allocation, liability management, , data protection, compliance, insurance, warranty, indemnity, service levels, intellectual property and dispute resolution provisions.\nWork with internal stakeholders to support supplier relationship management and strategic supplier initiatives.\nContracting Process Optimization & Transformation\nSupport implementation, enhancement and optimization of enterprise contracting tools, workflows, clause libraries, playbooks and legal technology solutions. This includes participation in contracting platform initiatives, implementations and clause playbook development projects.\nContribute to Applied’s contracting process improvements that increase efficiency, consistency and self-service capabilities while maintaining appropriate legal controls.\nSupport development and maintenance of standard contract templates, negotiation guidance and training materials.\nNDA Program Management\nProvide legal oversight and support for NDA review and negotiations, including complex or escalated matters.\nAct as a senior escalation point for business stakeholders and legal operations partners regarding NDA-related issues and process questions.\nAdvise on specialized confidentiality arrangements.\nStakeholder Engagement & Training\nDevelop strong working relationships with internal clients and become a trusted legal advisor.\nDeliver contract and compliance training programs to business stakeholders.\nPromote legal awareness and adoption of contracting best practices across the organization.\nQualifications:\nRequired:\nLL.B. / LL.M. degree from a premier university.\nSignificant post-qualification relevant legal experience (8+ years).\nSignificant experience as an in-house commercial transactions attorney supporting multinational businesses or similar rule at a leading lawfirm.\nExtensive experience drafting and negotiating complex commercial agreements.\nStrong understanding of contract law, procurement transactions, technology agreements and commercial risk assessment & mitigation.\nDemonstrated ability to independently lead negotiations with suppliers, consultants, service providers and strategic business partners.\nExcellent written and verbal communication skills.\nGreat attention to details.\nStrong sense of responsibility and service.\nStrong stakeholder management and influencing skills.\nAbility to operate effectively in a matrixed and global organization.\nStrong commercial acumen and pragmatic problem-solving capabilities.\nContract negotiation excellence\nBusiness partnership\nExperience supporting global organizations with cross-border transactions.\nCross-functional collaboration\nStrategic thinking\nAbility to handle multiple priorities simultaneously\nPreferred:\nPrior experience with a leading law firm.\nExperience supporting procurement, manufacturing, engineering or technology organizations.\nExperience with enterprise contracting and CLM platforms.\nFamiliarity with AI, SaaS, software licensing, cloud, and digital transformation transactions.\nProcess improvement mindset\nThe successful candidate will:\nServe as a trusted legal partner to procurement, supply chain, operations and business teams.\nEffectively negotiate and close complex commercial transactions.\nImprove contracting efficiency while appropriately managing legal risk.\nDrive adoption of contracting best practices.\nDemonstrate strong client service orientation and business partnership capabilities.\nLead complex legal matters with minimal supervision and sound judgment.\nAdditional Information\nTime Type:\nFull timeEmployee Type:\nAssignee / RegularTravel:\nNot SpecifiedRelocation Eligible:\nYesApplied Materials is an Equal Opportunity Employer.
