The attorney will advise on public company reporting and securities law compliance; Board and committee matters; and capital markets and financing transactions. The role will work closely with Treasury, Finance, External Reporting, Investor Relations, Communications, Tax, Executive Compensation, Human Resources and other legal and business teams, as well as outside counsel and other external advisers.\nThis position offers significant exposure to the Board, senior leadership and important corporate matters. The successful candidate will demonstrate strong technical judgment, excellent drafting and project management skills, attention to detail, discretion and the ability to manage multiple time-sensitive workstreams.\nAs a Counsel, Corporate & Securities, you will be responsible for:\nSEC Reporting, Disclosure and Securities Law\nSupport the preparation, review and filing of periodic and current reports and other SEC filings, including Forms 10-K, 10-Q and 8-K, proxy statements, registration statements, prospectus supplements and other securities offering documents.\nAdvise on disclosure requirements and materiality assessments for corporate, financing and governance matters, including earnings materials, investor presentations and other public communications.\nMonitor and advise on developments under the Securities Act, Exchange Act, SEC rules and guidance, and applicable stock exchange listing standards, and assist with implementation of new requirements.\nProvide support for beneficial ownership and insider reporting matters, including Schedules 13D and 13G, Forms 3, 4 and 5, Section 16 compliance and related policies and controls.\nBoard and Committee Support\nPrepare and coordinate materials for meetings of the Board of Directors and its committees, including agendas, presentations, resolutions, consents, minutes and supporting documentation.\nProvide legal and governance support for Board and committee matters, including director onboarding, governance policies, annual evaluations, corporate approvals and related compliance requirements.\nPartner with directors, senior management and business leaders to ensure Board and committee materials are accurate, complete and delivered on schedule.\nSupport Board meeting planning, action item tracking, Board portal administration and maintenance of corporate records and governance documentation.\nAssist with the annual shareholder meeting and related proxy statement, shareholder engagement and governance workstreams.\n Corporate Governance and Public Company Compliance\nAdvise on corporate governance requirements and leading practices, including governing documents, committee charters, corporate governance guidelines, codes and policies.\nSupport shareholder engagement, proxy advisory firm matters, governance ratings, shareholder proposals and responses to investor governance inquiries.\nAdminister and advise on insider trading, Regulation FD, related-person transactions, clawback, anti-hedging and other public company policies and procedures.\nSupport director and executive compensation governance matters, including equity plan administration, award documentation, director compensation and related disclosure.\nLead transfer agent coordination relating to shareholder records, equity issuances, dividends, share repurchases, redemptions and other equity administration matters.\nMaintain corporate records and support compliance with applicable corporate law, SEC requirements and stock exchange standards.\nCapital Markets and Finance\nProvide legal support for debt and capital markets and other financing transactions, including public and private debt offerings, credit facilities, commercial paper programs, term loans, bridge financings, receivables and supply-chain finance arrangements and related refinancing activities.\nFuel your passion\nTo be successful in this role you will:\nJuris Doctor degree from an accredited law school.\nActive membership in good standing in at least one U.S. state bar (with a preference for Texas).\nTypically 3 or more years of relevant corporate and securities experience at a leading law firm, public company or a combination of both.\nStrong drafting, negotiation, analytical and issue-spotting skills, with the ability to translate complex legal requirements into practical advice.\nExcellent written and verbal communication skills and the ability to work effectively with directors, senior leaders, internal clients, outside counsel and other advisers.\nStrong organizational and project management skills, including the ability to prioritize competing matters, coordinate multiple contributors and meet demanding deadlines.\nHigh degree of accuracy, responsiveness, discretion and sound judgment when handling confidential and sensitive matters.\nCollaborative, adaptable and solutions-oriented approach, with a commitment to continuous improvement and high-quality work product.\nProficiency with Microsoft Word, PowerPoint, Excel, Outlook and Copilot; experience with Workiva, Diligent Boards and Intelligize platforms is helpful.\nWork in a way that works for you\nWe recognize that everyone is different and that the way in which people want to work and deliver at their best is different for everyone.\nWorking with us\nOur people are at the heart of what we do at Baker Hughes.
