As we continue to grow our M&A Tax practice, we are seeking to add a Manager to our M&A Tax team in any of our offices. In this role, you will be developing and implementing transaction advisory services to our clients to meet their complex financial needs. Open to location. Our clients include privately held and publicly traded companies, private equity funds, mezzanine funds, banks, and business development companies. This multi-faceted client base allows us to provide our staff with a variety of opportunities across numerous industries, and a constant flow of challenging and meaningful work.\nInteract directly with Partners on matters related to client and engagement management\nModeling financial transactions to be used in valuation, structuring and negotiation\nPrepare detailed memoranda and presentations describing the key attributes of client companies and industries\nAssist in the review and analysis of the tax aspects of acquisition and merger agreements and draft tax opinion letters and memoranda\nIdentify and analyze tax risks and opportunities while advising on alternative tax strategies for acquisition, disposition and restructuring of businesses\nReview, assess and advise clients regarding tax computations reflected in their financial models; and assist clients in the quantitative and qualitative analysis of the tax data in their financial projections for the transaction\nData gathering, document review and preparation of reports\nResearch & financial analysis of target companies\nDue diligence for both buy side and sell side transactions\nTransaction structuring for tax and accounting issues\nNegotiation support\nCommunication with business owners to ensure delivery of exceptional client service\nParticipate in various marketing and recruiting activities of the firm\nQualifications\nBachelor's degree in finance, Accounting or related field required; or a graduate degree and 4 years of related work experience.\n5+ years of work related experience in a mid to large size professional services firm\nCertified Public Accountant CPA or JD/LLM required.\nTax due diligence, deal structuring and post-acquisition planning experience and/or inbound and outbound transaction consulting with international tax research, planning and compliance experience\nDemonstrated analytical, problem-solving, organization, interpersonal, project management, communication skills, and highly developed Microsoft Suite skills required.\nStrong written communication skills\nAbility to provide exceptional client service, demonstrate commitment to continuous learning, display appropriate ethical knowledge and commitment and exhibit a sense of urgency and commitment to quality and the timely completion of duties.\nThe pay range for this position is $66,000 to $182,200. This range represents a good-faith and reasonable estimate of the compensation the firm expects to pay for this position at the time of posting.
