This is a non-exempt position that requires in-person presence of four days per week in the Cleveland office, with one day remote. This position will primarily support M&A and debt-finance attorneys with a high-volume and sophisticated transactional practice with the highest Chambers ranking.\nResponsibilities:\nMaintains transaction and closing checklists and tracks deliverables, signatures, approvals, and outstanding items.\nOrganizes and manages electronic due diligence materials and virtual data rooms.\nCoordinates signature-page processes and electronic execution workflows.\nPrepares, files, amends, and terminates UCC financing statements.\nAssists with post-closing matters, including closing sets, binders, filings, organizational updates, and follow-up deliverables.\nAssists with the preparation and organization of disclosure schedules and related transaction materials, as appropriate.\nHandles all aspects of the formation of legal entities, including preparing articles of incorporation/organization, bylaws, operating agreements and other governing documents, stock/membership certificates, resolutions, incorporation proceedings, qualification, “S” corp elections, SS-4 forms, and related documents.\nCoordinates the filing of corporate and other documents with governmental agencies.\nAssists with the preparation of ancillary legal documents such as bills of sale, assignments, stock powers, closing certificates and other closing documents for review, approval, and use by attorney.\nMaintains client corporate record books, and prepares director, officer and manager and ownership updates and approvals, issuance of stock certificates, etc.\nHandles our corporate maintenance program, including preparing annual board and shareholders resolutions, coordinating filing of annual reports and similar activities.\nConducts UCC, lien, judgment, pending suit, bankruptcy, and other due diligence searches with, and orders corporate documents from, various county and state offices.\nPerforms lien and litigation and related due diligence searches.\nInteracts with attorneys, clients, and outside parties daily.\nProvides guidance and training to legal assistants and other team members on transactional processes and tools.\nOther duties as requested and assigned.\nRequirements:\n5+ years of corporate/business paralegal experience, preferably in a law firm or corporate legal department\nBachelor’s degree preferred or Paralegal Certificate at a minimum;
