Job Description:

This job is responsible for providing legal counsel and managing corporate governance activities in support of the boards of Bank of America Corporation, its wholly owned nationally chartered bank subsidiaries, and other U.S. subsidiaries. Key responsibilities include advising on corporate governance matters, supporting board and committee processes, and providing legal guidance related to the responsibilities of the U.S. Office of the Corporate Secretary. Job expectations include partnering with the Operations and Technology Enablement team, managing matters within the Office of the Corporate Secretary's remit, and supporting the effective execution of governance and operational activities.

Responsibilities:

  • Analyzes legal issues and implications on matters related to corporate functions
  • Communicates clear, concise, actionable, and business-informed legal advice, including occasionally to leadership
  • Interprets rulings, laws, and regulations
  • Drafts, reviews, and/or negotiates complex legal documents, such as regulatory filings, engagement letters, offering documents, and legal opinions
  • Gathers, assesses, and evaluates information from various sources with an open mind to make a judgment or inference

Required Qualifications:

  • 10+ years of experience as an attorney with corporate, securities, and public company corporate governance-related experience
  • Active license to practice law in at least one state or the District of Columbia
  • Understanding of U.S. public company corporate governance rules, regulations, best practices, subsidiary governance matters, and Delaware corporate law
  • Experience advising financial institutions or other complex international corporations on corporate governance matters
  • Experience advising boards of directors, board committees, and senior management on governance-related matters
  • Demonstrated ability to operate independently and exercise sound judgment on complex and time-sensitive matters
  • Strong oral, written, and drafting skills
  • Experience leading and participating in cross-functional teams
  • Strong business and legal judgment with the highest standards of integrity
  • Ability to navigate a complex, evolving financial services environment
