This position focuses on representing the Firm in connection with a variety of transactional matters, including providing assistance to principals and other internal clients on the Firm’s client engagement letters, master services agreements, access letters, non-disclosure agreements, data protection agreements, business associate agreements, and other commercial, vendor and client-facing agreements.\nJob Duties:\nReviews, provides advice, and negotiates legal matters pertaining to the Firm’s client engagement letters and other commercial transactions and client relationships in a manner consistent with the Firm’s business decisions, policies and strategy\nHas significant involvement in contractual matters throughout the entire contract lifecycle, from formation to termination\nCounsels internal clients to minimize legal risk associated with contractual and other business-related matters\nContributes to the continuous improvement of, and complies with, the Office of the General Counsel’s processes, policies and templates with respect to support of the Firm’s transactional needs\nEffectively communicates with OGC team members and various other internal and external parties with regard to the progress of matters Manages multiple contracts and projects in a deadline driven environment\nPerforms other related duties as required\nSupervisory Responsibilities\nN/A\nQualifications, Knowledge, Skills and Abilities:\nEducation:\nJuris Doctorate (JD) degree, required\nExperience:\nProven record of professional excellence and achievement with three (3) years or more years of experience as a practicing attorney in good standing at a law firm or as an in-house corporate attorney, required\nDemonstrated record of excellent written and verbal communication and interpersonal skills and ability to work independently or as a team member, required\nExperience working effectively within a demanding, deadline-driven environment, required\nExperience drafting, reviewing, negotiating, and advising on a variety of contracts, including with clients, vendors and other third parties, preferred\nLicense/Certifications:\nMember of a Bar in Good Standing, required\nSoftware:\nProficient in the use of Microsoft Word required\nProficiency withPowerPoint, Excel and SharePoint, preferred\nLanguage:\nN/A\nOther Knowledge, Skills & Abilities:\nDemonstrated record of providing substantive/technical legal advice and support to clients\nStrong project management skills, including ability to manage multiple projects simultaneously and effectively to completion\nPositive client-service attitude\nCommited to professional growth and development of skills in new areas of the law\nAdopts and becomes proficient on new software and technology implemented by the Firm for OGC use\nStrong verbal and written communication and interpersonal skills\nDetail oriented, with excellent organizational skills\nExercises good judgment\nSpots issues and summarize key points succinctly\nIs flexible and adaptive\nMaintains the highly confidential nature of information\nWorks effectively both independently and within a team environment\nIndividual salaries that are offered to a candidate are determined after consideration of numerous factors including but not limited to the candidate’s qualifications, experience, skills, and geography.\nNational Range: $100,000 -
