Summary:\nThe Transaction Advisory Services Senior Manager will be responsible for managing financial due diligence engagements for middle market strategic and financial (private equity) acquirers.\nJob Duties:\nPlans and oversees the due diligence process and applies knowledge and application of BDO standards to ensure effective and efficient delivery of quality services and products\nActs as primary contact for the duration of due diligence process\nAnalyzes quality of earnings, working capital, financial forecasts, quality of net assets and of acquisition target \nPerforms company research and collects information from available sources related to the target client’s business\nConducts on-site and / or phone interviews with C-level personnel or target client to gather additional information in support of the financial analysis\nAssists in identifying risks and issues related to the transaction for incorporation into purchase agreements\nComposes due diligence reports for presentations to clients evaluating M&A decisions\nManages the relationship and information flow between BDO and the target \nIdentifies and pursues business development opportunities through industry and networking relationships\nManages the development of proposal documents and conducts presentations in pursuit of acquiring new clients\nPartners with management members of BDO offices to identify and promote the services of the Transaction Advisory Services practice to existing and perspective clients\nOther duties as required\nSupervisory Responsibilities:\nSchedules and supervises the tasks and project assignments of Senior Associates and Managers\nReviews work product prepared by Senior Associates and Managers and provides review comments\nPartners with Director, Transaction Advisory Services to provide verbal and written performance feedback to Senior Associates and Managers throughout the fiscal year and as part of the annual performance review process\nQualifications, Knowledge, Skills and Abilities:\nEducation:\nBachelor’s degree in Accounting, Business Administration, Finance or equivalent required\nMBA preferred\nExperience:\nFive (5) or more years of prior TAS experience required\nThree (3) to four (4) years of public accounting experience, required, preferably within an audit role\nPrior experience interacting and working directly with C-level personnel preferred\nLicense/Certifications:\nCPA required\nSoftware:\nStrong proficiency using Microsoft Office Suites, specifically Word, Excel and PowerPoint\nLanguage:\nN/A\nOther Knowledge, Skills & Abilities:\nStrong verbal and written communication skills, specifically business writing aptitude\nAbility to interact with and adapt communication style to successfully convey messaging and objectives to all levels of management \nExhibits executive presence \nCapable of initiating and maintaining solid relationships with all levels of client personnel, as well as utilizing network and industry relationships to identify business development opportunities\nCapable of working in a demanding, deadline-driven environment
