You'll be the direct day-to-day contact for sophisticated\ninvestment fund and asset manager clients, working alongside fellow lawyers and paralegals.\nThis team delivers high volumes of pre-M&A contract work at speed, supported by AI-\nbacked tools including Carta's proprietary platform, Ava.\n\nThe Problems You'll Solve\nAt Carta, our employees set out on a mission to unlock the power of equity ownership for\nmore people in more places. As a Freelance Consultant on the Contracts team, you'll work to:\nNegotiate and manage high volumes of pre-M&A contracts - including NDAs,confidentiality agreements, NRLs, joinders, and engagement letters - directly liaising\nwith counterparties and adhering to agreed turnaround times\n\nServe as the primary day-to-day contact for clients, building trusted advisorrelationships with sophisticated investment funds and asset managers\n\nMaintain and update client playbooks on an ongoing basis, ensuring consistency andquality across all contract negotiations\n\nCollaborate with and mentor junior lawyers and paralegals, reviewing their work andcontributing to a high-performing team culture\n\nContribute to the continuous improvement of Carta's legal technology suite,identifying ways to innovate using AI-backed tools\n\nAbout You\nAbout You\nCommercially minded and client-focused. You communicate legal advice crisplyand concisely, building strong relationships with sophisticated financial services\nclients.\n\nExperienced in transactional law. 6-8+ PQE, with a track record of independentlynegotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).\n\nFamiliar with financial services. You have experience working with asset managers,investment banks, or other financial services firms and understand their expectations.\n\nLaw Degree and licensed to practice. You are licensed to practice law in any APACJurisdiction\n\nMust be based in APAC time zone, due to our client service needs\nTech-savvy and adaptable. You are comfortable working with and evolving a legaltechnology suite (e.g. AI tools, HighQ), and an interest in legal tech or AI is a strong\nplus.\n\nA self-starter who owns their work.
