Reporting to a senior leader within the Legal Services department, the successful candidate will provide legal representation and advice to City Council and City Departments primarily in relation to complex contract and general commercial law matters.\nKey duties and responsibilities\nGeneral\nProvide clear and concise advice to City Departments and City Council as required on a diverse range of general corporate and commercial matters, including business operations and municipal services.\nAssume leadership role, provide guidance and may lead individuals, teams or projects.\nSupport planning and implementation of complex capital projects.\nReview, draft and negotiate sophisticated agreements in connection with commercial transactions (including procurement, RFPs, construction, infrastructure and IT projects) involving both public and private sector entities.\nAssist with the handover of finalized, negotiated contracts to City departments, and support ongoing management of such contracts throughout the contract lifecycle.\nNegotiation and Advocacy\nLead front-line negotiation and preparation of commercial contracts.\nSupport, and in some cases lead, the negotiation and creation of partnerships, joint ventures and other strategic business structures in respect of targeted business pursuits.\nAssist the City’s project teams to avoid disputes or, where not possible, resolve them amicably, professionally and efficiently.\nParticipate in mediations and arbitrations relating to commercial contract disputes.\nSupport other internal counsel or external counsel with commercial contract litigation.\nAdvice and Legal Documents\nConduct legal research and prepare memoranda and legal opinions on a variety of legal matters relevant to the municipality and the legal implications of matters of law on operational and strategic decisions.\nInterpret federal and provincial legislation / regulations and case law relevant to the City.\nAnticipate City department business issues, investigate underlying causes and develop and implement practical short- and long-term solutions to legal problems.\nDevelop and continuously improve contract practices within City Departments.\nDeal with multiple internal and external stakeholders, including other levels of government.\nPrepare and review Council and Committee reports.\nAttend Council and Committee meetings and other public meetings, as required.\nKnowledge and Expertise\nStay abreast and provide advice relating to changes in legislation, regulation and case law impacting the City.\nMaintain current knowledge and provide strategic legal advice on contracts and commercial law, public procurement, corporate law, and other matters in a manner that is responsive to the needs of City Council and City departments.\nAnticipate, plan and conduct legal training sessions for City Departments.\nOther\nMeet tight deadlines and balance conflicting priorities.\nUndertake or contribute to special projects within the Legal Services department or with other City departments in furtherance of the corporation’s strategy and objectives.\nWork in multi-disciplinary teams, both in leadership and support roles as required.\nWork in accordance with the provisions of applicable Health and Safety legislation and all City of Guelph corporate and departmental policies and procedures related to Occupational Health and Safety.\nContribute to organizational culture of service, inclusiveness, wellness and learning.\nPerform other related duties as assigned.\nQualifications and requirements\nCompletion of a law degree.\nFive (5) or more years of corporate/commercial legal experience.\nLicensed to practice law in Ontario and a lawyer licensee in good standing of the Law Society of Ontario.\nExperience in a range of relevant commercial law matters gained from private practice and/or in-house.\nExcellent corporate / commercial legal skills, including excellent drafting, negotiation and attention to detail.\nAbility to communicate effectively with a variety of stakeholders, including senior management, City Council, and external stakeholders.\nAbility to work effectively both independently and in a team environment.\nExcellent business and political acumen, creativity, and sound judgment.\nAbility to accurately scope out length and difficulty of issues and set priorities.\nAbility to explain / present complex ideas in a clear and understandable fashion, and influence others.\nKnowledgeable on key industry trends and market changes and the ability to develop legal strategies accordingly.\nAdvanced skills in Microsoft Office (Word, Excel, PowerPoint and Outlook).\nKnowledge and understanding of the Occupational Health and Safety Act, the Ontario Human Rights Code, Workplace Safety and Insurance Act and Accessibility for Ontarians with Disabilities Act.\nExperience in public sector procurement, project management or municipal complex construction projects would
