Code Metal is seeking an experienced Contracts Manager to lead the administration of government contracts across the full contract lifecycle. The selected individual will serve as a trusted advisor to leadership, supporting proposal development, contract negotiations, administration, compliance, and closeout activities for a diverse portfolio of U.S. Government contracts, subcontracts, and teaming agreements. The successful candidate will work cross-functionally with Growth, Legal, Finance, Operations, and Engineering to ensure contractual obligations are understood, risks are appropriately managed, and customer relationships are supported throughout execution.

Primary Responsibilities:

  • Administer a portfolio of federal contracts, subcontracts, and other contractual agreements throughout the entire contract lifecycle.

  • Review, negotiate, and manage prime contracts, subcontracts, NDAs, teaming agreements, consulting agreements, and other business agreements.

  • Interpret contractual terms and conditions and advise internal stakeholders on contractual rights, obligations, risks, and compliance requirements.

  • Lead contract negotiations with government agencies, prime contractors, and commercial partners while protecting the company's business interests.

  • Coordinate contract modifications, funding actions, option exercises, period of performance extensions, and other post-award activities.

  • Review solicitations, RFPs, RFIs, OTAs, SBIR/STTR opportunities, and other acquisition documents to identify contractual risks and compliance requirements.

  • Support proposal development by reviewing solicitation requirements, preparing representations and certifications, and ensuring contractual compliance.

  • Maintain contract files, records, correspondence, and documentation to support audit readiness and regulatory compliance.

  • Monitor contract performance to ensure compliance with contractual requirements, deliverables, reporting obligations, and key milestones.

  • Collaborate with Execution Teams to resolve contractual issues and ensure successful program execution.

  • Monitor changes to federal acquisition regulations and agency policies, advising leadership on potential impacts/risk to the business.

  • Develop and improve internal contract management processes, templates, and standard operating procedures to support company growth.

  • Maintain working knowledge of the Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), and other applicable acquisition regulations.

  • Support contract closeout activities, including final deliverables, property disposition, and record retention requirements.

  • Provide contract guidance and training to internal stakeholders as needed.

Basic Qualifications:

  • 7+ years of combined federal contracts experience, including at least 4 years serving as a Contracting Officer within the Department of Defense.

  • Associate’s degree in Business, Contracts Management, Finance, Law, or a related field, or equivalent professional experience.

  • Strong working knowledge of the Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS).

  • Demonstrated experience administering and negotiating contracts supporting innovative defense acquisition pathways, including Other Transaction Authority (OTA) agreements, SBIR/STTR awards, and other non-traditional DoD vehicles.

  • Experience supporting high-growth small businesses, including contract administration for organizations transitioning from research and development into production and commercialization through programs such as APFIT, STRATFI, TACFI, or similar defense innovation initiatives.

  • Strong understanding of the unique contractual, intellectual property, data rights, and commercialization considerations associated with small business and non-traditional defense contractors.

  • Experience negotiating and managing prime contracts, subcontracts, teaming agreements, and nondisclosure agreements.

  • Strong understanding of contract funding, modifications, options, deliverables, and contract administration principles.

  • Excellent written and verbal communication skills with the ability to interact effectively with executive leadership, customers, and government representatives.

  • Strong organizational skills with exceptional attention to detail and the ability to manage multiple priorities simultaneously.

Preferred Qualifications:

  • Experience winning, administering, and managing GWAC, Schedule, and IDIQ contract vehicles.

  • Working knowledge of export control regulations, including ITAR and EAR.

  • Experience supporting invoicing, funding tracking, contract value management, indirect rate considerations, and revenue recognition requirements.

  • Working knowledge of Microsoft Office Suite and Google Workspace.

  • Active DoD Secret or Top Secret security clearance.
