Specific duties and responsibilities include, but are not limited to, the following:\nPosition responsibilities:\nAssist with emerging company and venture fund work including:\nPreparation and maintenance of organizational documents\nPreparation of partnership and limited liability company agreements\nPreparation of side letters, transfer agreements, admission agreements and other amendments\nConducting investor suitability due diligence \nAssist with research of Federal and State securities regulations in connection with fund formations\nAssist with the preparation and filing of requisite notices\nAssist with due diligence review of documents and with the preparation of opinions and backup in connection with fund formation\nAssist with SEC compliance reporting on behalf of venture fund clients with respect to their public company stock portfolios\nBill a minimum of 1600 hours annually\nTurn in time sheets, e-timelogs and fulfill other administrative duties in a timely fashion\nAll other duties as assigned or required\nSkills and experience:\nRequired:\nAvailable to work overtime, as required\nAfter orientation at Cooley LLP, exhibit proficiency in the Microsoft Office suite, iManage and other firm applications\nBachelor’s Degree\nPreferred:\nParalegal Certificate\nCompetencies:\nAbility to work independently and as part of a team in a fast-paced environment for multiple supervisors, meet deadlines and maintain flexibility with work assignments (including changes in attorney/paralegal assignments) and work schedules\nAbility to organize and prioritize work assignments as well as delegate tasks to service departments when necessary\nPossess excellent written, communication and proofreading skills with attention to detail\nAbility to work well with others, including clients\nAbility to work well under pressure\nMust demonstrate initiative, diplomacy and tact\nReliable, committed and punctual\nCooley LLP offers a competitive compensation and excellent benefits program.\nEOE.\nThe expected hourly pay range for this position with a work schedule of 40 hours per week is $34.00 - $37.00/hour ($70,720.00 - $76,96000 annually).
