They perform a range of tasks that assist the Firm in providing legal services to clients, including tasks that might otherwise be assigned to associates, all under the supervision of attorneys.\nPosition Responsibilities:\nAssist in the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents\n\nCoordinate closings and prepare related documents\n\nPrepare legal opinions and assemble opinion back-up\n\nDraft and file corporate and securities filings\n\nOrganize corporate records and conduct due diligence reviews\n\nPrepare stock certificates and maintain capitalization tables and option records\n\nResearch Blue Sky issues and prepare required filings\n\nProvide training to case assistants and junior paralegals\n\nOther tasks as assigned or required\n\nSkills & Experience\nRequired:\nBachelor’s degree\n\n5+ years of transactional experience in Private Equity, Capital Markets, and M&A matters is desired\n\nAvailable to work overtime, as required\n\nExcellent oral and written communication skills\n\nStrong attention to detail with the ability to manage multiple priorities and track extensive details\n\nAbility to establish and maintain good working relationships with personnel and to handle confidential information sensitively and discreetly\n\nProficiency in the Microsoft Office suite, advanced knowledge of Excel preferred\n\nPreferred: \nFamiliarity with Carta, Shareworks, or similar Web based equity tracking system\n\nPrevious law firm experience\n\nCompetencies:\nExcellent oral and written communication skills\n\nStrong attention to detail with the ability to manage multiple priorities and track extensive details to deliver excellent client service\n\nAbility to establish and maintain good working relationships with personnel and to handle confidential information sensitively and discreetly\n\nExcellent organizational skills\n\nCooley LLP offers a competitive compensation and excellent benefits program.\nEOE.\nThe expected hourly pay range for this position with a work schedule of 40 hours per week is\n$45.00 - $65.00/hour ($93,600 - $135,200 annually).
