This role is responsible for reviewing, drafting, and negotiating a broad range of commercial agreements, including master services agreements, software license and SaaS agreements, business associate and data processing agreements, non-disclosure agreements, and other related commercial agreements.\nThe ideal candidate has significant experience negotiating commercial agreements, particularly SaaS, software licensing, professional services, and platform agreements. They are comfortable working independently in a fast-paced environment and advising internal stakeholders on contract risk in plain, practical terms. A strong working knowledge of healthcare-related agreements, including business associate agreements, data privacy laws such as HIPAA, CCPA/CPRA, and GDPR, AI-related contract terms, and technology deployment models is preferred.\nResponsibilities\nDraft, review, and negotiate complex vendor agreements including master services agreements, software license agreements, professional services agreements, SaaS/PaaS/IaaS agreements, business associate agreements, data processing agreements, statements of work, and related agreements.\nAdvise internal stakeholders on contract interpretation, legal risks, and contract compliance requirements.\nPrepare legal summaries and risk assessments on contract terms and key provisions.\nMaintain contract databases and tracking systems for vendor relationships.\nSupport contract management processes and workflow improvements.\nCoordinate with strategic vendor services, compliance, privacy, and information governance departments and other business stakeholders on contract issues and requirements.\nFacilitate cross-functional meetings to resolve contract issues and support business objectives.\nAssist in training non-legal teams on contract processes and legal requirements.\nComplete all responsibilities as outlined in the annual performance review and/or goal setting.\nComplete all special projects and other duties as assigned.\nMust be able to perform duties with or without reasonable accommodation. \nThis job description is intended to describe the general nature and level of work being performed and is not to be construed as an exhaustive list of responsibilities, duties and skills required. This job description does not constitute an employment agreement and is subject to change as the needs of Cotiviti and requirements of the job change.\nQualifications\nJuris Doctor (JD) from a U.S. ABA-accredited law school and active bar membership in good standing in at least one U.S. state\n6+ years of experience negotiating technology and commercial agreements, gained in-house or at a large law firm\nStrong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization\nStrong negotiating skills on legal, risk, and commercial issues\nAbility to establish and maintain strong relationships within the organization’s legal department and across all businesses\nAbility to work independently with little or no supervision and be available and responsive to legal and compliance team members and business units in a remote working environment\nThe intellect and energy to excel in a complex and ever-changing environment\nCognitive / Mental Requirements\nAnalytical Thinking: Ability to interpret and apply complex laws, regulations, and contract terms related to healthcare compliance, data privacy, technology licensing, and vendor relationships. Capable of identifying legal risks in commercial agreements and emerging technology implementations.\nCritical Judgment: Strong decision-making skills in contract negotiations, with the ability to clearly identify, prioritize, and articulate legal issues and recommended courses of action. Adept at bridging legal, business, and technical domains while evaluating contract terms, data usage rights, and regulatory compliance requirements.\nAttention to Detail: Meticulous in drafting and reviewing vendor agreements, contract templates, risk assessments, and compliance documentation. Precision in analyzing contract language and identifying potential legal exposures.\nCommunication Skills: Excellent written and verbal communication for translating complex legal concepts into practical business guidance. Capable of synthesizing information from legal, regulatory, and commercial domains into actionable recommendations for internal stakeholders.\n Business Acumen: Sound judgment in balancing legal risk with business objectives across complex deal structures and commercial negotiations.\nPhysical Requirements and Working Conditions\nRemaining in a stationary position, often standing or sitting for prolonged periods. \nCommunicating with others to exchange information. \nRepeating motions that may include the wrists, hands and/or fingers. \nAssessing the accuracy, neatness and thoroughness of the work assigned. \nNo adverse environmental conditions expected.\nBase compensation ranges from $128,000 to $145,000 per year. Specific offers are determined by various factors, such as experience, education, skills, certifications, and other business needs. This role is eligible for commission.
