Summary\nThe Senior Corporate Counsel, Corporate Development, Financing & Regulatory Affairs is responsible for supporting DataOne’s corporate development, mergers and acquisitions, financing activities, corporate governance, regulatory compliance, and strategic growth initiatives.\nReporting directly to the Chief Legal Officer, this position works closely with executive leadership, finance, external advisors, lenders, investors, auditors, regulatory authorities, and other stakeholders on complex transactions and legal matters affecting the Company’s operations.\nThe position requires significant corporate and transactional legal experience, strong business judgment, and the ability to manage complex legal matters in a fast-paced, entrepreneurial, and high-growth environment.\nEssential Duties & Responsibilities\nMergers, Acquisitions & Corporate Development\n· Support and manage mergers, acquisitions, divestitures, joint ventures, strategic partnerships, investments, and other corporate development initiatives.\n· Draft, review, negotiate, and coordinate transaction documents, including letters of intent, term sheets, purchase agreements, shareholder agreements, joint venture agreements, disclosure schedules, and ancillary documents.\n· Lead and coordinate legal due diligence efforts.\n· Manage legal workstreams from transaction evaluation through closing and post-closing integration.\n· Coordinate with investment bankers, financial advisors, consultants, accountants, and external legal counsel.\n· Prepare transaction summaries, risk assessments, and recommendations for executive leadership.\nFinancing, Banking & Investor Relations Support\n· Support debt financings, project financings, equipment financings, capital raises, refinancing transactions, and other strategic funding initiatives.\n· Draft, review, and negotiate financing-related documents, including credit agreements, loan agreements, security agreements, guarantees, intercreditor agreements, commitment letters, and term sheets.\n· Participate in negotiations and discussions with lenders, banks, financial institutions, investors, private equity firms, investment bankers, and financial advisors.\n· Coordinate financing-related due diligence processes and information requests.\n· Support management responses to legal and diligence inquiries from lenders, investors, auditors, and financing stakeholders.\n· Monitor compliance with financing agreements, reporting obligations, and covenant requirements.\nCorporate Governance & Compliance\n· Support governance matters for U.S. and international subsidiaries.\n· Prepare board resolutions, written consents, corporate approvals, governance records, and organizational documentation.\n· Assist with entity management, annual filings, and regulatory requirements.\n· Support the implementation and maintenance of corporate compliance programs, policies, and procedures.\n· Coordinate with regulatory authorities, external advisors, and consultants.\nRegulatory & Strategic Legal Matters\n· Support legal aspects of data center development, infrastructure projects, energy projects, telecommunications matters, and other regulated business activities.\n· Assist with permitting, licensing, regulatory approvals, and compliance obligations.\n· Analyze regulatory developments and advise business stakeholders regarding potential impacts.\nLitigation & Dispute Management\n· Assist the Chief Legal Officer in managing litigation, arbitration, mediation, investigations, regulatory proceedings, and other disputes involving the Company.\n· Coordinate with outside counsel regarding litigation strategy, pleadings, discovery, motions, expert witnesses, and settlement discussions.\n· Support litigation budgeting, document preservation, internal investigations, and fact-gathering efforts.\n· Assist in responding to claims, subpoenas, regulatory inquiries, and pre-litigation disputes.\nStrategic Business Support\n· Provide practical legal advice and risk assessments to executive leadership.\n· Collaborate closely with finance, accounting, operations, engineering, project management, and executive leadership teams.\n· Support special projects and initiatives assigned by the Chief Legal Officer.\nRequirements\nMinimum Qualifications\n· Juris Doctor (J.D.) degree from an accredited law school.\n· Active membership in good standing with at least one U.S. state bar.\n· Minimum of 8 years of legal experience.\n· Significant experience in mergers and acquisitions, corporate transactions, financing transactions, and corporate governance matters.\n· Experience working with lenders, financial institutions, investors, investment bankers, auditors, and external advisors.\n· Familiarity with regulatory and compliance matters affecting corporate operations.\n· Experience supporting litigation and dispute management.\n· Excellent legal drafting, negotiation, analytical, and communication skills.\n· Strong business judgment and commercial awareness.\n· Strategic thinking and strong business acumen.\n· Strong transaction management skills.\n· Strong negotiation and stakeholder management abilities.\n· Ability to communicate effectively with lenders, investors, auditors, regulators, outside counsel, executive leadership, and other stakeholders.\n· High level of professionalism, integrity, discretion, and accountability.\nPreferred Qualifications\n· Experience in the data center, digital infrastructure, telecommunications, technology, energy, utilities, construction, or infrastructure sectors.\n· Experience supporting project finance transactions and large-scale infrastructure developments.\n· Experience with private equity-backed businesses, growth-stage companies, or complex corporate structures.\n· Experience with cross-border transactions and international operations.\nWork Environment & Requirements\n· This position operates primarily within a professional office and business environment.\n· The role requires regular interaction with executive leadership, internal business teams, external counsel, lenders, investors, auditors, regulators, financial institutions, and other professional stakeholders.\n· The position requires prolonged periods of computer use and participation in meetings, negotiations,
