Reporting directly to the Chief Legal Officer, this position works closely with executive leadership, finance, external advisors, lenders, investors, auditors, regulatory authorities, and other stakeholders on complex transactions and legal matters affecting the Company’s operations. The position requires significant corporate and transactional legal experience, strong business judgment, and the ability to manage complex legal matters in a fast-paced, entrepreneurial, and high-growth environment.\nEssential Duties & Responsibilities\nMergers, Acquisitions & Corporate Development\nSupport and manage mergers, acquisitions, divestitures, joint ventures, strategic partnerships, investments, and other corporate development initiatives. \nDraft, review, negotiate, and coordinate transaction documents, including letters of intent, term sheets, purchase agreements, shareholder agreements, joint venture agreements, disclosure schedules, and ancillary documents. \nLead and coordinate legal due diligence efforts. \nManage legal workstreams from transaction evaluation through closing and post closing integration. \nCoordinate with investment bankers, financial advisors, consultants, accountants, and external legal counsel. \nPrepare transaction summaries, risk assessments, and recommendations for executive leadership.\nFinancing, Banking & Investor Relations Support:\nSupport debt financings, project financings, equipment financings, capital raises, refinancing transactions, and other strategic funding initiatives\nDraft, review, and negotiate financing-related documents, including credit agreements, loan agreements, security agreements, guarantees, intercreditor agreements, commitment letters, and term sheets. \nParticipate in negotiations and discussions with lenders, banks, financial institutions, investors, private equity firms, investment bankers, and financial advisors. \nCoordinate financing-related due diligence processes and information requests. \nSupport management responses to legal and diligence inquiries from lenders, investors, auditors, and financing stakeholders. \nMonitor compliance with financing agreements, reporting obligations, and covenant requirements. \nCorporate Governance & Compliance:\nSupport governance matters for U.S. and international subsidiaries. \nPrepare board resolutions, written consents, corporate approvals, governance records, and organizational documentation.\nAssist with entity management, annual filings, and regulatory requirements. \nSupport the implementation and maintenance of corporate compliance programs, policies, and procedures. \nCoordinate with regulatory authorities, external advisors, and consultants. \nRegulatory & Strategic Legal Matters:\nSupport legal aspects of data center development, infrastructure projects, energy projects, telecommunications matters, and other regulated business activities. \nAssist with permitting, licensing, regulatory approvals, and compliance obligations. \nAnalyze regulatory developments and advise business stakeholders regarding potential impacts. \nLitigation & Dispute Management :\nAssist the Chief Legal Officer in managing litigation, arbitration, mediation, investigations, regulatory proceedings, and other disputes involving the Company. \nCoordinate with outside counsel regarding litigation strategy, pleadings, discovery, motions, expert witnesses, and settlement discussions. \nSupport litigation budgeting, document preservation, internal investigations, and fact-gathering efforts.\nAssist in responding to claims, subpoenas, regulatory inquiries, and pre-litigation disputes. \nStrategic Business Support:\nProvide practical legal advice and risk assessments to executive leadership. \nCollaborate closely with finance, accounting, operations, engineering, project management, and executive leadership teams. \nSupport special projects and initiatives assigned by the Chief Legal Officer. \nRequirements\nMinimum Qualifications:\nJuris Doctor (J.D.) degree from an accredited law school. \nActive membership in good standing with at least one U.S. state bar. \nMinimum of 8 years of legal experience. \nSignificant experience in mergers and acquisitions, corporate transactions, financing transactions, and corporate governance matters. \nExperience working with lenders, financial institutions, investors, investment bankers, auditors, and external advisors. \nFamiliarity with regulatory and compliance matters affecting corporate operations. \nExperience supporting litigation and dispute management. \nExcellent legal drafting, negotiation, analytical, and communication skills.\nStrong business judgment and commercial awareness.\nStrategic thinking and strong business acumen. \nStrong transaction management skills. \nStrong negotiation and stakeholder management abilities. \nAbility to communicate effectively with lenders, investors, auditors, regulators, outside counsel, executive leadership, and other stakeholders. \nHigh level of professionalism, integrity, discretion, and accountability.\nPreferred Qualifications\nExperience in the data center, digital infrastructure, telecommunications, technology, energy, utilities, construction, or infrastructure sectors. \nExperience supporting project finance transactions and large-scale infrastructure developments. \nExperience with private equity-backed businesses, growth-stage companies, or complex corporate structures.\nExperience with cross-border transactions and international operations. \nWork Environment & Requirements\nThis position operates primarily within a professional office and business environment. \nThe role requires regular interaction with executive leadership, internal business teams, external counsel, lenders, investors, auditors, regulators, financial institutions, and other professional stakeholders. \nThe position requires prolonged periods of computer use and participation in meetings, negotiations, document review, and other legal and business activities. \nAbility to manage multiple complex and time-sensitive legal matters, transactions, disputes, and business priorities.\nPhysical Requirements:\nSEDENTARY WORK: Primarily involves sitting for extended periods, frequent computer and telephone use, participation in virtual meetings, and reviewing and preparing documents and other written
