Job Description:

DB Global Technology is Deutsche Bank’s technology centre in Central and Eastern Europe. Since its set-up in 2013, Bucharest Technology Centre (BEX) has constantly proven its capacity to deliver global technology products and services, playing a dynamic role in the Bank’s technology transformation.

The Vendor Clause Assessment Team (VCAT) Reviewer role sits within the Third Party Contracting (TPC) Centre of Excellence (CoE) team which is part of DB Global Procurement. The TPC CoE is accountable for driving contracting excellence across the Bank through robust governance, continuous system, process and framework improvements, and comprehensive training programs.

As a Reviewer in the Vendor Clause Assessment Team (VCAT), you will play a crucial role in ensuring the efficiency and effectiveness of the Bank's Global Procurement contract negotiations process. You will review modifications to risk-type and legal clauses made by Suppliers and operate to defined playbooks and guidance in line with defined negotiation mandates. Where clause deviations are outside the remit of playbooks or guidance documentation, you will be the bridge between SMEs in the risk and legal control functions at the second-line of defense and live contract negotiations between Contract Authors and Suppliers.

Responsibilities

  • Review Supplier modifications to risk-type and legal clauses during contract negotiations.
  • Operate to defined playbooks and guidance, adhering to negotiation mandates defined by stakeholders in the Risk Type Controller (RTC) and Legal functions.
  • Evaluate and approve/reject standard clause deviations on behalf of the RTC and Legal functions, in line with defined playbooks/guidance.
  • Conduct initial reviews of non-standard risk-type provisions, resolving issues where possible using playbooks or escalating to relevant RTC or Legal teams when deviations fall outside playbook remit.
  • Provide appropriate risk-type language to Contract Authors via DB’s Contract Lifecycle Management system, using the defined playbook or guidance document.
  • Liaise and coordinate between Service Owner , relevant RTCs and Legal SMEs for complex clause deviations during contract negotiations.
  • Consult the Contract Advisory Team (CAT), who operate as the first point of contact for user-related service requests, on assigned contract-related queries.
  • Participate in User Acceptance Testing (UAT), for updates to clauses in digitalized templates and playbooks/guidance and assist in identifying system issues.
  • Support the updates to playbooks/guidance documents, following updates to clauses as agreed through the Contract Quality Council (CQC).

Skills

  • Strong understanding of contract negotiation principles and legal/risk clauses.
  • Knowledge of the Spanish language is mandatory
  • Experience in reviewing and interpreting contractual language.
  • Familiarity with contract lifecycle management software (e.g., Sirion, Icertis, Docusign).
  • Excellent attention to detail and accuracy in clause assessment.
  • Ability to follow defined processes and operate within established guidelines.
  • Strong communication and escalation skills.
  • Problem-solving capabilities for identifying and addressing clause deviations.
  • Ability to work effectively in a collaborative environment.
