The opportunity to improve health on a global scale stands before us.\nMeet the team:\nThe role will work closely with attorneys supporting partnerships, mergers and acquisitions, strategic ventures, investments, and other complex business transactions, and will regularly interact with business stakeholders, finance, tax, compliance, outside counsel, and other teams across the Legal Department.\nThe Senior Paralegal will help with transactions from initial diligence through closing and post-closing integration, while maintaining accurate records, anticipating next steps, and ensuring that deliverables and deadlines are met. Success in this position requires a strong work ethic, exceptional attention to detail, sound judgment, reliability, and a consistently proactive approach.\nWhere you come in:\nSupport domestic and cross-border mergers, acquisitions, divestitures, strategic investments, joint ventures, venture financings, and other corporate transactions from diligence through closing and post-closing matters.\nManage transaction checklists, data rooms, diligence requests, disclosure schedules, signature packets, closing deliverables, and post-closing obligations with a high degree of accuracy and follow-through.\nProactively track deadlines, identify open items and potential issues, follow up with responsible parties, and keep attorneys and business stakeholders informed of status and next steps.\nCoordinate transaction execution across internal functions, counterparties, outside counsel, investors, and other third parties, including organizing calls and maintaining clear action-item lists.\nReview, and organize ancillary transaction documents, including confidentiality agreements, consents, approvals, certificates, resolutions, officer documents, signature pages, and closing binders.\nConduct factual and legal research, prepare summaries and reports, and help develop and improve templates, playbooks, processes, and transaction-management tools.\nTake ownership of assigned workstreams, exercise sound judgment, and respond efficiently to shifting priorities in a fast-paced transactional environment.\nWhat makes you successful:\nYou relevant paralegal or corporate legal experience, including substantial hands-on experience supporting M&A, strategic ventures, investments, financings, and other complex corporate transactions. A combination of law firm and in-house experience is strongly preferred.\nYou understand the lifecycle of a corporate transaction and can independently manage diligence, signing, closing, and post-closing workstreams. You are comfortable learning new subject areas, using transaction-management and entity-management tools, and seeking guidance when appropriate.\nYou bring a strong work ethic and a hands-on, service-oriented mindset. You are proactive, resourceful, and accountable, anticipate needs before they arise, and consistently take ownership through completion.\nYou can manage multiple complex matters under tight deadlines, prioritize effectively, and remain responsive and composed as circumstances change.\nYou demonstrate exceptional attention to detail, organization, and quality control, and you take pride in producing accurate, complete, and polished work.\nYou communicate clearly and professionally, build strong working relationships, protect confidential information, and collaborate effectively with colleagues at all levels.\nYou have a bachelor’s degree and/or paralegal certificate, or equivalent relevant experience.
