Position at DNEG

We are looking for for qualified Company Secretary (with experience of working in Listed Companies 3 to 5 years) at DNEG India Media Services Limited (Subsidiary of Prime Focus Limited, Listed Company) located in Mumbai.

Key Responsibilities:

• Handling work with respect to Listed Companies as well as group of Public Unlisted and Private Companies including Foreign Subsidiaries;
• Handling compliances with respect to the Companies Act, 2013 and rules made thereunder;
• Handling compliances with SEBI regulations vis-à-vis SEBI LODR, PIT, SAST, etc.;
• Handling RBI compliances in relation to foreign subsidiaries like FLA, ODI reporting, APR filing, ECB filing, etc.;
• Preparing Annual Report including Board Report and annexures, CG Report, BRSR, etc.
• Filing necessary forms and returns with ROC including XBRL forms.
• Maintaining statutory books and records required under the Companies Act, Secretarial Standards, preparing notices, agenda and minutes.
• Co-ordinating and communicating with the Board, Board Committees, Senior Management and Shareholders and Facilitating and organizing Meetings of the Board, Committees and Shareholders, Postal Ballots;
• Liaising with statutory regulations and external authorities like RTA, Depositories, Stock Exchanges, etc with an ability to make sound judgements;
• Sound knowledge with respect to the Companies Act and rules, Secretarial Standards, SEBI Regulations, RBI Regulations, FEMA regulations
