The team is also in constant contact with the corresponding functions of the other entities belonging to the Generali Group.\nProvide legal advice on the structuring, launch, and lifecycle management of AIFs and UCITS\nDraft and review fund documentation (e.g., offering memoranda, prospectuses, service agreements)\nDraft and negotiate agreements with funds’ service providers (e.g., depositaries, administrators, investment managers, distributors, etc.)\nDraft and negotiate corporate agreements and support general legal matters of the Company\nCollaborate with internal stakeholders (Product, Operations, BRM, etc. ), as well as with stakeholders at Group level, on fund-related initiatives and on the ones concerning the Company\nMonitor and interpret regulatory developments (e.g., AIFMD II, ELTIF 2.0, SFDR, CSSF circulars) regarding the funds and the Company and advise about their interpretation\nDefine the scope of work and manage RFP processes for the selection of external legal advisers\nLiaise, acting as the main point of contact, with external counsel and regulatory authorities (CSSF) as required\nContribute to internal legal knowledge sharing\nSupport corporate governance and board-related legal matters for both Fund entities and the Company\nMaster’s degree in Law\nMinimum of 7 years’ experience in investment funds and related areas of law, with a focus on Alternative Investment Funds (AIFs)\nIn-depth knowledge of the Luxembourg and European legal and regulatory environment applicable to Luxembourg management companies/AIFMs and related fund structures\nKnowledge of corporate governance matters, including board meetings and stakeholder relations\nProven track record in structuring and launching investment funds across various asset classes and investment strategies\nDeep understanding of fund formation, regulatory compliance, and governance matters impacting investment funds\nStrong drafting, negotiation, and analytical skills, with meticulous attention to details\nStrong problem-solving mindset, with the ability to assess legal risks and propose pragmatic, business-oriented solution\nExperience in negotiating agreements with fund service providers (e.g., depositaries, administrators, investment managers, distributors)\nExperience in handling regulatory interactions with the CSSF (e.g., filings, queries, approvals)\nSoft Skills\nExcellent communication and interpersonal skills, with the ability to effectively interact with clients and internal stakeholders, Group counterparts, external counsel and regulatory Authorities\nStrong organizational skills, with the ability to manage multiple priorities and deliver high-quality work within tight deadlines in a fast-paced environment\nCommitment to upholding the highest standards of ethics, professionalism, and client service\nAbility to work autonomously \nDemonstrated ability to mentor and support younger colleagues in their professional development\nExcellent communication skills, both verbal and written in English; Italian, German or French would be considered as a plus\nAs part of GIL pre-hire background screening process, we apply a risk-based approach to determine the requirement of carrying out such checks on candidates, including criminal record checks.
