If you want to do the best work of your career alongside people who share that drive, we'd love to build with you.\nAt Harvey, the future of professional services is being written today - and we’re just getting started.\nRole Overview\nHarvey is hiring a M&A Counsel to execute on complex, high-impact M&A transactions , while supporting adjacent corporate and partnerships legal needs.\nThis role is ideal for an experienced M&A lawyer who can own and drive M&A work streams end-to-end with minimal oversight, build Harvey’s M&A playbook and design scalable, AI-forward legal processes, and partner cross-functionally to execute Harvey’s acquisition strategy.\nWhat You'll Do\nExecute on M&A and other strategic transactions, including due diligence, structuring deal structures and term sheets, drafting and reviewing definitive agreements and negotiating key legal and business terms, managing signing, closing and post-closing integration, and overseeing outside counsel\n\nDesign, implement, and continuously improve scalable legal processes, templates, and playbooks to drive efficiency, consistency, and best practices across M&A and other strategic transactions\n\nAct as a trusted business partner to stakeholders across the company, including Corp Dev, Finance, People, Product, and Operations\n\nSupport adjacent corporate matters as needed, including entity management, employment and compensation, real estate, and insurance\n\nWhat You Have\nJD degree and licensed to practice in either California or New York in good standing\n\n4-6+ years of relevant legal experience in M&A transactions and the ability to flex across adjacent corporate matters\n\nAt least 4 years in the M&A group of a top-tier law firm, preferably as a 5th year+ associate and with buy-side experience representing fast-growing technology companies\n\nAbility to thrive in a fast-paced environment, manage competing priorities, and think creatively and strategically under tight timelines\n\nTeam-focused and collaborative working style; strong sense of ownership and comfort operating independently in a rapidly evolving practice\n\nExceptional communication skills and intellectual curiosity, with the ability to drive stakeholder alignment, exercise sound judgment and provide solutions-oriented legal advice\n\nCompensation\n$220,000 - $270,000 USD\nDepending on your location, an Applicant Privacy Notice may apply to you.
