Reporting directly to the Deputy General Counsel and operating within the parent company's General Counsel organization, this is a high-visibility, high-impact role with direct exposure to the General Counsel, C-suite executives, and SVP-level business leaders.\nThis attorney will lead commercial licensing matters across ICE's exchange data product suite, navigate complex regulatory environments across multiple jurisdictions, and play an active role in emerging areas including digital assets and AI-driven legal operations.\nResponsibilities\nCommercial & LicensingServe as lead counsel for all commercial license transactions supporting ICE's global proprietary exchange data business\nDraft, negotiate, and manage product licenses for exchange traded products (ETPs), including index, benchmark, and data feed agreements\nAdvise on software license agreements governing technology platforms and delivery infrastructure for exchange data products\nStructure and execute complex, multi-party licensing arrangements with exchanges, data vendors, institutional clients, and technology partners\n\nRegulatory & ComplianceProvide substantive legal counsel on regulatory matters impacting exchange data and derivative markets, with emphasis on CFTC, FCA, ESMA, and SEC frameworks\nMonitor evolving regulatory developments and translate implications for business and product strategies\nPartner with compliance teams to ensure data licensing practices adhere to applicable exchange rules, market data policies, and regulatory requirements across jurisdictions\n\nEmerging TechnologiesAdvise on legal and regulatory considerations for innovative products in the digital assets and cryptocurrency space\nPartner with business and technology teams on the creation, deployment, and governance of AI tools designed to streamline legal operations and workflows\nIdentify and manage legal risks associated with AI-generated outputs, data provenance, and automated decision-making in commercial contexts\n\nCross-Functional LeadershipEngage directly with senior business leaders, including C-suite and SVP-level executives, providing clear, actionable legal guidance\nCollaborate with internal legal colleagues across corporate, IP, regulatory, and technology law practices\nManage outside counsel relationships and associated budgets as needed\n\nKnowledge and Experience\nJuris Doctor (JD) or equivalent legal qualification; admission to the bar in New York, England & Wales, or another relevant jurisdiction\n\n8-12+ years of legal experience with a substantive focus on commercial licensing, financial products, or capital markets\n\nDemonstrated expertise in derivative exchange markets and a working knowledge of CFTC, FCA, ESMA, and SEC regulatory regimes\n\nProven track record in drafting and negotiating complex commercial license agreements, including data, product, and software licenses\n\nExperience advising senior business executives in a fast-paced, high-stakes environment\n\nPreferred Knowledge and Experience\nIn-house counsel experience at a financial exchange, market data business, or financial technology firm\n\nFamiliarity with digital assets, crypto market structure, or tokenized financial products\n\nExperience with AI governance frameworks, technology licensing, or data rights in the context of machine learning\n\nDual qualification or cross-border practice experience (US and UK/EU)\n\nCore Competencies\nCommercial acumen with ability to balance legal risk against business objectives\n\nStrong written and verbal communication skills; able to distill complex legal issues for non-legal audiences\n\nExecutive presence and credibility with C-suite and senior stakeholders\n\nIntellectual curiosity and adaptability in emerging technology and regulatory landscapes\n\nCollaborative team player with ability to work independently across time zones\n\nNew York Base Salary Range\nThe expected base salary for this role, if located in New York, is between $210,000 - $260,000 USD. The base salary range does not include Intercontinental Exchange’s incentive compensation. While we provide this range as general guidance, at ICE we compensate employees based on the skillset and experience of the individual.
