Actual compensation will be based on qualifications such as experience, education, certifications, and skills, as well as geographic considerations.\nINX is seeking a motivated and detail-oriented Associate Counsel as support primarily to the Company's North American, South American, and Oceania business operations, as well as secondary support to Company’s European and global business operations, partnering with internal stakeholders to manage legal risk while advancing strategic and operational objectives. This role supports commercial transactions, manufacturing operations, supply chain management, corporate governance, regulatory compliance, and related legal matters affecting a leading multinational manufacturing enterprise. This position is intended as a developmental role within the Legal Department with a progression path toward Corporate Counsel.\nEssential Duties & Responsibilities:\nAs an Associate Counsel, you will be responsible for:\nCommercial TransactionsDraft, review, negotiate, and manage a wide range of commercial agreements, including:Customer sales agreements\nDistribution and dealer agreements\nSupplier and procurement contracts\nService and maintenance agreements\nNon-disclosure agreements\nSoftware and technology agreements\nLogistics and transportation contracts\n\nAdvise business teams regarding contractual rights, obligations, and risk allocation.\nAssist with contract strategy and dispute resolution involving customers, suppliers, and business partners.\n\nManufacturing and Operations SupportProvide legal support related to manufacturing, supply chain, sourcing, inventory management, and operational activities.\nAssist with product-related legal matters, including product safety, warranty, and product liability issues.\nSupport implementation of business initiatives affecting production facilities and distribution operations.\nPartner with operations and procurement teams to address commercial and regulatory risks.\n\nCorporate and Governance MattersAssist with corporate governance activities, including maintenance of corporate records for multiple entities and preparation of board and committee materials.\nSupport domestic and international subsidiary management and related corporate filings.\nAssist with entity formation, restructuring, and other corporate transactions.\n\nCompliance and Regulatory AffairsSupport the Company's ethics and compliance programs.\nAssist with compliance initiatives involving anti-bribery, trade compliance, sanctions, competition law, privacy, and other applicable regulatory requirements.\nConduct investigations and fact-finding activities as directed.\nMonitor legal and regulatory developments affecting the Company's global operations.\n\nLitigation and DisputesAssist in managing litigation, claims, and administrative proceedings.\nCoordinate with outside counsel and internal stakeholders.\nSupport document collection, case strategy, and settlement activities.\n\nEmployment and General Legal SupportProvide legal support on employment and labor matters in partnership with Human Resources.\nConduct legal research and prepare legal memoranda, policies, and guidance materials.\nDevelop and deliver training regarding legal and compliance topics.\nPerform other duties and special projects as assigned by Chief Legal Officer.\n\n To perform your job as expected, you will be required to:\nJuris Doctor (JD) degree from a leading law school.\n2-5 years related experience in a leading law firm, sophisticated in-house legal department, or combination of both.\nHave an active license and good standing in Illinois or at least one U.S. jurisdiction.\nExperience drafting and negotiating commercial agreements.\nIn addition to these qualifications, we will consider it a plus if you have:\nExposure to corporate matters, manufacturing, supply chain, distribution, commercial transactions, compliance, employment, risk or litigation matters.\nProficiency with Microsoft 365 applications and contract management systems.\n We offer a competitive salary with excellent benefits including medical, dental, vision, life insurance, disability, pet insurance, HSA and FSA, 401(k), and more.
