The role provides para-legal and governance support for the review and administration of commercial contracts, NDAs, MOUs and other business agreements, works closely with business stakeholders to identify and address contractual and compliance risks, and escalates material or complex legal matters to Legal where appropriate.\nThe role also supports the implementation and monitoring of corporate governance policies, regulatory and compliance requirements, internal controls, and related governance initiatives across the organisation.\nKey Responsibilities\n1. Contract & Para-Legal Support\nReview and provide comments on commercial contracts, NDAs, confidentiality agreements, vendor/customer agreements and other business documents based on established company policies, templates and risk parameters. \nIdentify key contractual risks, including liability, indemnity, termination, confidentiality, data protection, intellectual property, warranties and compliance obligations. \nSupport contract negotiations and coordinate proposed amendments with relevant business stakeholders. \nProvide practical guidance to business teams on contractual requirements and obligations. \nMaintain appropriate contract review records, approvals and supporting documentation. \nWork closely with Legal and escalate complex, high-risk or material legal issues for formal legal advice. \n2. Governance & Compliance\nSupport the development, implementation and continuous improvement of governance and compliance policies, procedures and controls. \nMonitor adherence to internal policies, delegated authorities and corporate governance requirements. \nAdvise business teams on governance requirements and appropriate approval processes. \nSupport compliance reviews, internal assessments and remediation of identified gaps. \nMonitor and support compliance with applicable requirements relating to areas such as anti-bribery and corruption, conflicts of interest, data protection, sanctions and trade compliance. \n3. Risk & Internal Controls\nAssist in identifying governance, contractual and compliance risks arising from business activities and transactions. \nWork with business and functional teams to establish appropriate mitigating controls. \nTrack material compliance issues, exceptions and corrective actions through to closure. \nSupport internal and external audits and respond to governance and compliance-related information requests. \n4. Business Advisory & Stakeholder Management\nAct as a governance and compliance point of contact for business teams. \nProvide practical and commercially balanced guidance while ensuring appropriate governance and risk management. \nWork closely with Sales, Procurement, Finance, Operations, HR, Information Security and other functions on contractual and compliance matters. \nConduct briefings and awareness sessions on governance, compliance and contracting requirements. \nRequirements\nDegree or diploma in Law, Legal Studies, Business, Corporate Governance, Compliance or a related discipline. \nApproximately 3 to 6 years of relevant experience in governance, compliance, contract management, para-legal or corporate legal support. \nPractical experience reviewing commercial contracts and NDAs is strongly preferred. \nGood understanding of contractual principles and the ability to identify commercial and legal risks. \nFamiliarity with corporate governance, compliance, internal controls and risk management frameworks. \nStrong analytical skills with good attention to detail. \nStrong written and verbal communication skills, with the ability to explain contractual and compliance matters in practical business terms. \nAble to work independently, exercise sound judgement and recognise matters requiring escalation to Legal or senior management. \nExperience within a
