We are seeking an experienced and highly professional Board Secretary to manage and coordinate the affairs of the Board of Directors and its committees. This is a senior stakeholder-facing role requiring regular interaction with distinguished Board members, senior executives, investors, and institutional stakeholders. The successful candidate will be responsible for ensuring the effective organization and administration of Board and committee activities, maintaining high standards of governance and documentation, and facilitating professional and timely communication between the Board, management, and relevant stakeholders. The role is primarily focused on Board and Committee Secretariat responsibilities, with additional support for investor and stakeholder relations and reporting as required.

Requirements

Key Responsibilities:

Board & Committee Management:

  • Manage the end-to-end coordination of Board of Directors and Board Committee meetings, including annual calendars, scheduling, invitations, agendas, meeting packs, and logistical arrangements.
  • Coordinate with the Chairman, Board members, committee members, senior management, and relevant functions to prepare meeting agendas and required supporting materials.
  • Ensure Board and committee members receive complete and accurate meeting materials within the required timelines.
  • Attend Board and committee meetings and prepare accurate, comprehensive, and professionally structured minutes of meetings.
  • Document resolutions, decisions, recommendations, and action items arising from Board and committee meetings.
  • Coordinate the review, approval, circulation, and proper filing of meeting minutes and Board resolutions.
  • Maintain an effective action-tracking process and follow up with relevant stakeholders on Board and committee decisions and outstanding actions.
  • Maintain the annual Board and committee calendar and proactively coordinate upcoming governance requirements.

Governance & Board Documentation

  • Maintain complete, accurate, and confidential records of Board and committee activities, including minutes, resolutions, meeting materials, official correspondence, and governance documentation.
  • Support the implementation and maintenance of effective corporate governance practices and Board procedures.
  • Ensure Board-related documentation is properly organized, controlled, archived, and accessible to authorized stakeholders.
  • Assist in preparing governance-related reports, Board presentations, briefing notes, and other documentation as required.
  • Support the Board and its committees with information and reports required to facilitate effective decision-making.

Board & Executive Stakeholder Management

  • Act as a key coordination point between the Board of Directors, Board committees, senior management, and other relevant stakeholders.
  • Manage Board-related correspondence and communications with a high degree of professionalism, discretion, and confidentiality.
  • Coordinate requests from Board members and ensure timely follow-up with management and relevant internal departments.
  • Build and maintain effective professional relationships with Board members, executives, investors, and institutional stakeholders.
  • Handle sensitive and confidential Board matters with appropriate judgment and discretion.

Investor & Stakeholder Relations

  • Provide support for investor and shareholder communications when required.
  • Coordinate meetings and communications with investors and other key external stakeholders.
  • Assist in preparing reports, presentations, updates, and information requested by investors or the Board.
  • Support senior management in responding to stakeholder information and reporting requirements.

Qualifications:

  • Bachelor’s degree in Business Administration, Corporate Governance, or a related discipline.
  • Proven professional experience in Board Secretariat, Board Affairs, Corporate Governance, or a closely related role.
  • Previous experience working within a large, reputable, and professionally structured organization is highly preferred.
  • Experience within banking, financial services, investment, insurance, or a related financial-sector organization is strongly preferred.
  • Demonstrated experience interacting directly with Board members, C-suite executives, investors, and other senior-level stakeholders.
  • Strong experience preparing Board minutes, resolutions, reports, presentations, and formal corporate correspondence.
  • Excellent written and verbal communication skills in Arabic and English.
  • Strong proficiency in Microsoft Office applications, including Word, PowerPoint, Excel, Outlook, and Teams.
