What We’re Building
Litem is on a mission to change how lawyers practice law. Our AI-powered platform is reinventing how trial lawyers and litigation teams manage the litigation lifecycle, from preparing and taking depositions to analyzing case materials with a speed and depth that simply was not possible before. In under two years, our small and determined team has turned that vision into a real, fast-growing business that lawyers rely on every day, and we are just getting started. The market is enormous, the roadmap is ambitious, and the sky is the limit.
Our commercial agreements are where that momentum becomes real. They turn our technology into revenue, partnerships, and long-term customer relationships, which makes this legal role central to the company’s growth rather than a back-office function.

About the Role
This is a rare chance to own the technology and software contracts of a company that is building something genuinely new. You will draft and negotiate the agreements that drive our growth, and you will do it in one of the most interesting contracting environments there is: our customers are lawyers. They read every word, they negotiate for a living, and they hold our paper to a higher standard than most buyers ever would. Earning their trust at the contract table is part of how we earn their business, and you will be the person who does it.
You will own the full lifecycle of our commercial contracts, from customer-facing SaaS and enterprise agreements to the vendor, cloud, data, and technology contracts that power the platform. Reporting directly to the Chief Legal Officer on a small team where your work is visible and your impact is immediate, you will translate business goals into clear, winning contract language, close deals without unnecessary friction, and build the templates, playbooks, and processes that let us scale.
What You’ll Do
Draft and negotiate technology and software agreements, including SaaS and enterprise subscription agreements, master services agreements, software and API license agreements, order forms, statements of work, evaluation and pilot agreements, reseller and channel-partner arrangements, and nondisclosure agreements.
Own the customer contracting process end to end, leading deals from our paper as the starting point, defending and negotiating our terms directly with customers, and driving each deal to signature on strong, commercially sound terms.
Handle vendor, procurement, and inbound technology contracts, including cloud and hosting agreements, software-as-a-service subscriptions, professional-services engagements, and technology vendor terms that support the platform and the business.
Negotiate data protection, security, and privacy terms, including data processing addenda, security exhibits, confidentiality provisions, and data-handling commitments, in coordination with the security and privacy functions.
Address intellectual property and licensing issues, including IP ownership and assignment, license scope and restrictions, open-source considerations, and provisions governing the use of data and AI/ML models and outputs.
Build and maintain contract templates and playbooks, developing standard forms, fallback positions, and negotiation guidance that let sales and procurement move quickly while keeping risk within approved parameters.
Advise business stakeholders on contract risk, deal structure, and practical alternatives, giving clear, actionable guidance under deal timelines.
Support contract operations and improvement, including intake, approval workflows, signature and records processes, obligation tracking, and the selection and use of contract-management tooling.
Support strategic growth initiatives, including development of new legal technology products and features, and other revenue-related initiatives requiring legal input.
Advise on legal and regulatory considerations related to artificial intelligence and emerging technologies, including ethical use, risk mitigation and governance.
Role Requirements
J.D. from an accredited law school and active membership in good standing of the Washington state bar (or eligibility to register as in-house counsel in Washington).
3-5 years of relevant experience drafting and negotiating technology and commercial contracts, at a law firm, in-house, or a combination of the two.
Demonstrated command of technology transactions, including SaaS, software licensing, and technology services agreements.
Working knowledge of the issues that recur in software and data deals: IP and licensing, limitations of liability and indemnification, warranties, confidentiality, data protection and security, and service levels. Understanding of AI-related issues is a plus.
Track record of leading negotiations directly with counterparties and closing deals on balanced terms under time pressure.
Excellent drafting and communication skills, with the judgment to give business-practical advice and the ability to work cross-functionally with non-legal stakeholders.
Ability to manage a high volume of concurrent matters, set priorities, and work independently in a fast-moving environment.
