The successful candidate will have experience in drafting and negotiating joint development agreements, specialized technology licenses, asset purchase agreement (and/or other M&A agreements). This is a unique opportunity for a law firm associate to transition in-house or for an in-house attorney to take on a more strategic role in a company.Reporting to, and frequent interaction with, management based in the United States, this role offers a unique opportunity for personal and professional development, including through work on complex and high-impact transactions and strategic partnerships that will shape the growth of this dynamic, global technology company. You will engage in meaningful work with real-world impact, be exposed to cutting-edge technologies, work in an intellectually stimulating environment, and interface with business leaders in Europe, the US, the Middle East, and in Asia.\nKey Responsibilities\nDraft and negotiate joint development agreements, commercial cooperation agreements, and other strategic technology transactions\n\nDraft and negotiate asset purchase agreements and other types of M&A agreements, as needed\n\nAs needed, review and advise on investment-related agreements, including stock purchase, voting, and investor rights agreements of investment targets\n\nProvide reliable legal leadership to a business team focused on joint development, commercial cooperation, and M&A activities\n\nLead the development of frameworks for intellectual property (IP) ownership, IP grants, risk mitigation, and governance to support strategic transactions\n\nConduct legal due diligence, with a focus on IP and commercial risk, for strategic transactions\n\nAs needed, collaborate with and manage external counsel while ensuring cost-effective legal support\n\nDevelop a deep understanding of the company’s technologies, relevant agreements regarding the same, and strategic goals for technology development/expansion\n\nRequirements/Preferences\nLaw degree from an accredited law school\n\n8+ years of relevant legal experience, preferably in fields of technology licensing and IP transactions\n\nStrong understanding of IP law and its application in commercial contexts\n\nExperience working with IP transactions in the M&A field\n\nFluent English-language skills (all work product and negotiations will be in English)\n\nExcellent drafting, negotiation, and analytical skills\n\nProactive and detail-focused professional capable of working independently in a dynamic, fast-paced environment with shifting priorities and competing demands\n\nProficiency in Microsoft Office Suite and standard corporate software tools\n\nLummus Technology is the global leader in developing technology solutions that make modern life possible and focus on a more sustainable, low carbon future.
