Our goal is always to deliver optimal results at the best possible value.\nEssential Duties and Responsibilities:\nAssist attorneys with all aspects of mergers and acquisitions, including due diligence, document organization, and closing preparation\nConduct and manage due diligence reviews, including tracking and summarizing key findings\nPrepare and organize closing checklists, signature pages, and transaction binders\nDraft and revise corporate documents, including resolutions, formation documents, and governance materials\nMaintain and update corporate records, minute books, and entity management databases\nCoordinate filings with state agencies related to entity formation, registration, and compliance\nManage large volumes of transactional documents and maintain organized deal files\nCommunicate with clients, attorneys, and third parties to facilitate transaction execution\nSupport attorneys with legal research and other transactional matters as needed\nTrack timelines and key deliverables to ensure timely completion of transactions\nCandidate Requirements:\nMinimum of five (5) years of paralegal experience, with a focus on corporate or transactional work\nBachelor’s degree and/or Paralegal Certificate required\nExperience supporting M&A transactions and corporate governance activities strongly preferred\nStrong understanding of corporate structures, filings, and documentation\nExcellent organizational skills and ability to manage multiple transactions simultaneously\nStrong attention to detail and ability to work in a fast-paced environment\nEffective communication skills with attorneys, clients, and internal teams\nProficiency in Microsoft Office, legal research tools and document management systems\nWhy Should You Apply?\nWe offer a hybrid work environment, competitive compensation and a comprehensive benefits package including medical, dental, vision, life, disability, and 401(k).\nMG+M will not discriminate in its employment practices due to an applicant’s age, race, color, religion, sex, sexual orientation, gender identity, national origin, and veteran or disability status.
