The Role:

The Company Secretary Senior Administrator - Real Estate plays a key role in delivering high-quality fund administration, governance and company secretarial services across a portfolio of real estate fund and corporate structures.

Working under the direction of the portfolio owner, the role coordinates day-to-day governance and administration across allocated structures, independently progresses routine and moderately complex matters, and escalates material or technical matters where appropriate.

The role supports board processes, real estate transactions, structure launches, reorganisations and wind-ups, while ensuring statutory, regulatory and internal requirements are met. It acts as a key operational contact for directors, internal stakeholders, service providers and external advisers and contributes to accurate records, effective information flows and timely delivery of portfolio requirements.

Key Responsibilities Required:

Portfolio Administration and Governance Coordination

  • Support the day-to-day administration of a defined portfolio of fund, GP, LP and corporate structures, ensuring governance activities, company secretarial requirements, transaction deliverables and administrative obligations are progressed accurately and within agreed timeframes.

  • Coordinate governance activities and maintain oversight of routine deliverables, escalating material matters, risks or issues where appropriate.

  • Act as a key contact for directors, internal stakeholders, external advisers and service providers on day-to-day and transactional matters.

  • Help ensure actions are progressed to completion, maintain accurate records and provide timely updates on portfolio priorities, emerging risks and governance requirements.

  • Support less experienced colleagues by sharing knowledge, reviewing work where required and contributing to a collaborative team environment.

  • Support the maintenance of statutory records and coordinate Companies House filings and other regulatory submissions. Ensure governance records remain accurate, complete and up to date, escalating filing risks, issues or deadlines as appropriate.

Governance Records, Data Management and Process Improvement

  • Maintain governance records, statutory information and portfolio data across relevant systems and information sources, ensuring information remains complete, accurate and up to date.

  • Identify data inconsistencies, process inefficiencies and governance gaps.

  • Contribute to improvements that strengthen controls, enhance reporting quality and support consistent governance standards across portfolios.

  • Support the ongoing development of processes, documentation and management information to improve operational efficiency and the effectiveness of governance activities.

Real Estate Transaction Support

  • Support company secretarial and governance activities associated with real estate transactions.

  • Coordinate information requests, maintain transaction records, monitor action trackers and assist with the preparation of governance papers, board materials and concise decision-making summaries.

  • Work closely with internal and external stakeholders to help identify governance requirements, meet deadlines and complete transaction-related actions in line with agreed timelines and governance standards.

Structural Changes Administration

  • Support the governance and administrative aspects of structure launches, reorganisations and wind-ups.

  • Assist in coordinating actions arising from working groups, maintain governance documentation and track deliverables to support successful implementation.

  • Ensure required filings, approvals, records and governance actions are completed accurately and in accordance with established procedures and regulatory requirements.

Stakeholder and Service Provider Management

  • Build and maintain effective working relationships with internal stakeholders, including Fund Management, Tax, Accounting, Legal and Directors, alongside external advisers, directors and service providers.

  • Communicate clearly and professionally with stakeholders at all levels, providing timely updates, responding to queries and coordinating activities across multiple parties.

  • Develop a strong understanding of stakeholder requirements and contribute to effective decision-making through accurate information, sound judgement and proactive support.

Key Knowledge, Skills and Experience Required:

  • Experience within fund administration, asset management and fund governance, preferably in a real estate environment. Consideration will be given to candidates from related sectors who have experience supporting GP/LP and SPV structures, including private equity, private debt and other alternative investment structures.

  • Experience working directly with boards of directors, with the ability to understand transactional matters, identify relevant governance requirements, approvals and documentation, and escalate technical matters where appropriate.

  • Ability to independently attend board meetings, prepare accurate minutes and manage follow-up actions through to completion, ensuring agreed outcomes are appropriately documented and implemented.

  • Degree qualified in business management, financial services or a related field combined with a relevant professional qualification, or active progression towards one, in corporate governance, company secretarial practice, fund administration, accounting, law or a related discipline. A Chartered Governance Institute qualification would be advantageous.

  • Familiarity with Know Your Customer, Anti-Money Laundering and related investor, counterparty and entity due diligence requirements. Experience supporting periodic reviews, onboarding activities and governance processes associated with regulatory and compliance obligations would be advantageous.

  • Experience working with UK structures and governance frameworks is preferred. Consideration will also be given to candidates with experience in other jurisdictions commonly used for alternative investments, including Jersey, Luxembourg, Ireland and similar fund domiciles, where exposure has been gained to fund, GP/LP and SPV structures.

  • Ability to manage multiple competing priorities across a portfolio of structures while maintaining effective communication with colleagues and stakeholders to support the successful delivery of business objectives.

  • Strong attention to detail and a commitment to maintaining high standards of accuracy, quality and governance.

  • Strong relationship management and stakeholder engagement skills, with the ability to build effective working relationships across a broad range of internal and external stakeholders.

  • Strong written and verbal communication skills, with the ability to explain complex information clearly, concisely and appropriately for different audiences.
