This role involves providing timely and high-quality legal assistance on transactions to the Corporate Development Team and other business groups. Key areas include venture capital, mergers and acquisitions, joint ventures, and large-scale capital investments. You will coordinate with specialists throughout the U.S. and EU and handle legal duties involving entities.\nWork Responsibilities\nManage legal aspects of venture capital investments from beginning to end, including term sheets, due diligence, definitive agreements, board observer and information rights, subsequent funding rounds, portfolio oversight, and exits.\nPrepare and negotiate contracts pertaining to mergers and acquisitions, asset and share transactions, and related documents, including transition services agreements, consulting and employment contracts, tax agreements, IP license agreements, and more.\nDeliver legal support across all phases of deals, from planning and negotiation to signing and post-signing regulatory and integration help in the US and EU regions.\nDirect and manage outside counsel, and control legal spend.\nPartner with subject matter experts on data privacy, intellectual property, regulatory matters, tax, public policy, security, finance, sales, procurement, and other internal and external contributors to make sure that transactions correspond with corporate strategy and policies.\nAssist and support other internal departments such as HR, finance, accounting, tax, operations, and investor relations on legal matters, as needed.\nHelp develop standards, templates, and playbooks for M&A and venture transactions.\nIdentify and implement AI-enabled tools and workflows to streamline deal diligence, contract review and drafting, and transaction management.\nMinimum Qualifications\nCollege degree (B.A., B.S.) and Juris Doctorate (J.D.) from top-tier, ABA-accredited law school.\nEight or more years of related experience at a law firm or in a corporate law department.\n“First-chair”-level experience leading venture capital, M&A, and other significant transactions.\nSkilled at explaining legal concepts to business partners and other non-lawyers and delivering pragmatic legal and commercial advice.\nOutstanding legal drafting and negotiation skills.\nConfidence to share and propose ideas on legal issues to both internal collaborators and external counsel/consultants.\nExcellent communications skills, both verbal and written.\nRequired Personal Attributes\nAbility to forge strong and effective working relationships across a variety of collaborator groups.\nAbility to work independently and manage pressure.
