A leading global financial institution is seeking a highly knowledgeable Legal Advisor to join their Structured Solutions business in Hong Kong. You will provide comprehensive legal advisory services and transaction support for structured products, derivatives, repo transactions, fund financing, securitization, leverage finance, project finance and deals across all asset classes, ensuring robust legal risk management.

What you'll do:

As a Legal Advisor - Structured Solutions based in Hong Kong, you will play a central role in supporting the business’s structured solutions activities. Your day-to-day responsibilities will involve advising on complex financial transactions spanning cash & synthetic products as well as fund financing, securitization, leverage finance, project finance and bespoke repo arrangements. You will review notes issuance by SPVs and provide guidance on a wide array of agreements including bonds, loans, derivatives, foreign exchange contracts, indices, forwards, options, confirmations, and more. Your expertise will be called upon during securitisation deals across APAC branches. You will foster collaborative relationships with external law firms and trustees while maintaining accurate records of all agreements. In addition to transaction support duties, you will participate in committees focused on regulatory changes impacting structured products. Success in this role requires you to be responsive to evolving business needs while upholding rigorous standards of legal risk management. Your ability to connect with stakeholders across departments ensures that every deal is executed smoothly while maintaining entity integrity between different business units.

Provide expert legal advice and transaction support for cash & synthetic, funded & unfunded structured products and transactions covering all asset classes.

  • Review notes issuance by special purpose vehicles (SPVs) established or to be established by the organisation’s securities division.

  • Advise and support on fund financing, securitization, leverage finance, project finance, bespoke repo and securities lending transactions by offering detailed legal guidance throughout the process.

  • Advise on bespoke bond, loan, derivative, foreign exchange, index, forward, options agreements, confirmations, and related documents.

  • Deliver legal support for securitisation transactions across multiple jurisdictions within APAC.

  • Liaise with external lawyers, trustees, and other transaction parties to ensure seamless execution of structured products transactions.

  • Review capacity, netting, and collateral enforceability opinions in connection with structured products, derivatives, and repo businesses.

  • Provide legal advice and perform risk management on default situations involving structured solutions transactions.

  • Maintain databases and records of agreements and related documentation with meticulous attention to detail.

  • Participate actively in external or internal committees/working groups relating to regulatory changes affecting structured products, derivatives, and repo.

What you bring:

To excel as a Legal Advisor - Structured Solutions in Hong Kong you will bring deep proven experience from both private practice at top-tier law firms and in-house positions at major financial institutions or sponsors. Your background includes advising senior executives on strategic projects within the financial services sector-particularly those involving complex structured products such as derivatives or repos. You possess advanced technical knowledge of these instruments along with regulatory frameworks governing their use. Your collaborative approach enables you to build trust among colleagues from various departments while also nurturing relationships with external partners like law firms or trustees. You are adept at handling commercial matters alongside corporate governance challenges; your attention to detail ensures that all documentation is meticulously maintained. Your ability to manage multiple projects concurrently demonstrates your dependability under pressure. Above all else your commitment to impartiality allows you to navigate dual hat responsibilities effectively-supporting both local operations and broader regional initiatives without favour.

  • Qualified solicitor in England & Wales or another jurisdiction within APAC with recognised credentials.

  • Extensive experience (10-12 years+) gained through private practice at major law firms combined with in-house roles at significant financial institutions or asset management firms.

  • Demonstrable senior experience advising C-suite executives within the financial services industry on strategic initiatives.

  • Strong technical understanding of financial services products including structured solutions such as derivatives and repos.

  • Proven track record working on regulatory matters as well as commercial and corporate governance issues relevant to financial institutions.

  • Ability to lead multiple projects simultaneously while providing dependable legal support for new jurisdictions or product launches.

  • Experience reviewing capacity opinions as well as netting/collateral enforceability opinions for complex financial structures.

  • Excellent interpersonal skills enabling effective collaboration with internal teams (front office/product/risk) as well as external parties (law firms/trustees).

  • Meticulous organisational skills for maintaining databases/records of agreements/documentation related to structured solutions transactions.

  • Commitment to entity-neutral performance ensuring impartiality when supporting dual hat responsibilities across business units.
