The successful candidate will report to the Company’s Vice President, Associate General Counsel & Secretary, and will work on a team with responsibility for a broad range of securities, corporate governance, and other corporate legal matters, including SEC disclosure, debt refinancings/restructurings, equity plan management, tax reorganizations and global subsidiary management. This is a great opportunity to work with an energetic, creative and driven team for a large, international corporation.\nThis is a hybrid role requiring 3 days on-site weeklyin Andover, MA.\nYou Will Make an Impact By:\nPreparing and/or reviewing SEC/‘34 Act filings, including the proxy statement, annual report on Form 10-K, quarterly reports on Form 10-Q, 8-Ks, and Section 16 filings.\nReviewing and advising on investor relations matters, such as earnings releases, earnings scripts, investor presentations and other communications.\nSupporting the corporate secretarial function, including board- and committee-related matters.\nSupporting corporate finance transactions, including debt and equity offerings.\nSupporting equity plan matters, such as stock incentive plan and employee stock purchase plan matters.\nSupporting executive compensation and other compensation matters.\nSupporting internal tax reorganizations and other tax initiatives.\nManaging global subsidiaries, including with respect to cash repatriation and intercompany agreements.\nSupporting M&A transactions, including antitrust regulatory work.\nCollaborating with cross-functional teams including Finance, Investor Relations, Tax/Treasury, and Human Resources\nSkills You Bring:\nBA/BS, JD from an accredited law school.\n5+ years’ focused experience with securities and corporate governance matters, developed through advising public company clients at a large law firm and/or supporting the securities function of a public company as an in-house lawyer.\nLicensed member of at least one state bar.\nDemonstrated experience and a genuine interest in securities and corporate governance matters.\nStrong knowledge of public company reporting, disclosure and compliance obligations.\nExcellent oral, written and interpersonal communication skills, coupled with the ability to synthesize complex legal concepts into clear, concise, and pragmatic legal advice and written work product that support business objectives.\nExceptional ability to stay organized and multitask.\nMeticulous attention to detail and accuracy as well as comfort working in a fast-paced environment.\nUnwavering ethics and integrity in all engagements.\nCollaborative and collegial team player who fosters positive working relationships through empathy, respect and professionalism.\nSelf-starter with a strong desire to learn and grow in a dynamic environment.\nGeneral familiarity with finance and/or accounting matters.\nPhysical Demands and Working Conditions:\nPerform activities such as sitting, standing, or typing for extended periods of time • Regularly requires good manual dexterity and coordination\nMust be able to communicate information and ideas so others will understand • Must be able to exchange accurate information • The ability to observe documents and details at close range (within a few feet of the observer)\nCompensation and Benefits:\nSalary Pay Range: $155,250.00 - 258,750.00 USD Annual per year. This range is a good faith estimate of the expected salary range for this position, based on a wide range of factors including qualifications, experience and training, operational and business needs and other considerations permitted by law.
