This role serves as a subject matter expert on Year 15 transactions and works closely with investors, developers, legal counsel, syndicators, asset managers, and ownership entities to evaluate and execute complex ownership transitions and preserve affordable housing assets.\nThe ideal candidate combines strong financial analysis capabilities with a solid understanding of LIHTC partnership structures, legal agreements, and transaction negotiations. This individual will be responsible for assessing investor exit options, modeling transaction outcomes, mitigating financial and tax liabilities, and facilitating successful resolutions among various stakeholders.\nKey Responsibilities\nManage Year 15 and investor exit transactions across a portfolio of LIHTC investments.\nAnalyze partnership agreements, operating agreements, and related legal documents to determine ownership rights, purchase options, transfer provisions, and exit strategies.\nReview and interpret complex lower-tier, middle-tier, and upper-tier partnership structures and ownership entities.\nBuild and maintain financial models to evaluate investor exit scenarios, partnership restructurings, asset dispositions, and portfolio strategies.\nPerform valuation analyses, waterfall distributions, net present value (NPV) calculations, and sensitivity analyses to support transaction recommendations.\nReview partnership tax returns, K-1s, capital accounts, and benefits schedules to assess financial impacts and potential investor tax liabilities.\nLead negotiations with developers, investors, syndicators, attorneys, and other stakeholders to facilitate Year 15 transactions and ownership transfers.\nEvaluate purchase options, right of first refusal (ROFR) provisions, qualified contract considerations, and other exit mechanisms available under partnership agreements.\nPartner with legal counsel to document and execute ownership restructurings, transfers, and investor exits.\nIdentify transaction risks and develop strategies to protect investor interests while supporting long-term affordable housing preservation.\nCoordinate due diligence efforts, including financial, legal, and operational reviews.\nPrepare investment committee memorandums, transaction summaries, and recommendations for senior leadership.\nMaintain knowledge of LIHTC regulations, market trends, and industry best practices related to Year 15 transactions and affordable housing preservation.\nCollaborate with Asset Management, Acquisitions, Legal, and Finance teams to optimize transaction execution and portfolio performance.\nQualifications\nRequired\nBachelor's degree in Finance, Accounting, Real Estate, Business Administration, Economics, or a related field.\n3+ years of experience in LIHTC asset management, affordable housing finance, real estate transactions, syndication, or related disciplines.\nWorking knowledge of the LIHTC program, Section 42 compliance requirements, and affordable housing ownership structures.\nExperience reviewing and interpreting partnership agreements, operating agreements, and legal transaction documents.\nStrong financial modeling skills, including cash flow analysis, waterfall modeling, valuation methodologies, and NPV calculations.\nAbility to understand and analyze complex legal entity structures and partnership arrangements.\nExceptional analytical and problem-solving capabilities.\nStrong negotiation and stakeholder management skills.\nAdvanced Microsoft Excel skills.\nExcellent written and verbal communication abilities.\nPreferred\n5+ years of LIHTC asset management, syndication, affordable housing finance, or transaction experience.\nExperience leading Year 15 investor exits, partnership restructurings, or ownership transfers.\nFamiliarity with investor tax liability analysis, capital account management, and partnership taxation.\nExperience working with institutional investors, syndicators, developers, and external legal counsel.\nKnowledge of affordable housing preservation strategies and emerging Year 15 market trends.\nKey Competencies\nFinancial Modeling & Valuation\nLIHTC Program Knowledge\nPartnership Agreement Analysis\nLegal Document Interpretation\nTransaction Structuring\nNegotiation & Influence\nCritical Thinking\nRisk Assessment\nStakeholder Management\nProject Management\nWritten Communication\nStrategic Decision Making\n Ideal Backgrounds\nLIHTC Asset Management\nAffordable Housing Investment Management\nLIHTC Syndication\nAffordable Housing Acquisitions\nAffordable Housing Finance\nReal Estate Private Equity\nTax Credit Consulting\nCommunity Development Financial Institutions (CDFIs)\nHousing Finance Agencies\nAffordable Housing Legal or Transaction Advisory Firms\nAbout Us\nFrom the day we opened our doors, MRI Software has built flexible, game-changing real estate software that powers thriving communities and helps make the world a better place to live, work and play.
