Sitting at the intersection of commercial contracting and healthcare compliance, this role requires a strong foundation in contract law, experience with technology and SaaS agreements, the ability to build trusted relationships with internal partners, and the judgment to navigate complex, regulated business environments. The ideal candidate is a self-starter who thrives in a fast-paced in-house setting and can manage a high-volume, varied workload with minimal supervision.\nResponsibilities\nCollaborate regularly with members of the legal team to help streamline work and implement effective risk management\nDraft and review complex contract language and contract negotiations particularly those related to contracts with various types of health care clients, providers and employer groups or government contracts, including Master Services Agreements, Business Associate Agreements, Indemnity, Limitations of Liability, and State Medicaid Contracts\nDraft, review, and negotiate technology, SaaS, and software agreements, including vendor agreements, data processing addenda, licensing agreements, and API/integration contracts\nManage and administer Business Associate Agreements (BAAs) across the client and vendor portfolio, ensuring alignment with HIPAA requirements and MRO’s contractual obligations\nNegotiate contract terms with internal business partners, clients, vendors, and other parties\nSupport the administration and ongoing development of MRO’s contract lifecycle management (CLM) system, including playbook maintenance, template management, and workflow improvements\nProvide legal advice on contract interpretation and obligations\nInteract with management and all levels of corporate personnel to obtain information and provide counsel regarding sensitive and complex legal issues\nEnsure compliance with all applicable laws and regulations\nIdentify and mitigate potential legal risks within contractual agreements\nMaintain organized records of executed contracts and related documents\nCollaborate with other departments to gather necessary information for contract review\nResolve any contract-related disputes or issues\nUpdate contractual policies and procedures as needed to align with current laws, regulations, and client policies\nConduct legal research to support contract review negotiations\nQualifications\nJuris Doctor Degree (JD) from accredited law school\nLicensed to practice law by the bar of at least one state\n3+ years of experience in a multi-client law firm, health insurer, hospital, or similar organization\n3+ years of health care related legal experience\nDemonstrated experience in a law firm and/or in-house corporate law department required\nStrong knowledge of corporate transaction practices\nExperience drafting and negotiating technology, SaaS, software licensing, or vendor agreements strongly preferred\nWorking knowledge of HIPAA, state privacy laws, and healthcare regulatory frameworks applicable to health information management\nExperience with a contract lifecycle management (CLM) system preferred; familiarity with LinkSquares or similar platforms a plus\nStrong interpersonal, writing, and verbal communications skills\nAbility to interact with all levels of management\nStrong organizational skills and the ability to work under pressure, meet deadlines, and able to work independently and as a part of a team to prioritize responsibilities, take initiative and self-motivate/self-manage work and time\nTotal CompensationBase pay is one element of the total compensation package.
