Nasdaq is an American company founded in 1971 that opened the first electronic stock market and has since turned itself into a financial technology business where exchange operation is only one part. Alongside the United States and Nordic exchanges it runs a listings franchise, sells market data and indexes, licenses trading and clearing technology to other market operators, and has built a large regulatory technology business covering financial crime surveillance, anti-money-laundering and board governance software. Headquartered in New York and listed on its own exchange, it now earns the majority of revenue from recurring solutions rather than from trading volumes.

The Office of General Counsel (OGC) is the company's legal department. It advises company management on a full range of legal and regulatory issues.

This attorney would primarily be responsible for supporting Nasdaq in handling appeals from Nasdaq listing and delisting determinations, including proceedings before the Nasdaq Hearings Panel, the Nasdaq Listing and Hearing Review Council, and SEC administrative proceedings, as well as related rule filings.

Candidates should have the following qualifications:

  • Substantive expertise handling SEC administrative proceedings or general complex commercial litigation experience, with a focus on drafting briefs;
  • Conducting or responding to regulatory inquiries by federal financial regulators;
  • Experience with exchange or self-regulatory organization (SRO) listing standards, delisting procedures, or rulemaking is a plus;
  • Ability to develop subject matter expertise on a diverse range of legal issues confronting a multinational financial technology company;
  • Ability to advise on applicable standards with respect to best practices in risk mitigation, tracking global legal developments, and recommending and helping implement changes to address emerging risks;
  • Demonstrated ability to work both independently and as part of project teams
  • Ability to work and thrive in a fast-paced business culture;
  • Excellent written and verbal communication skills and attention to detail; and
  • A high level of professionalism, outstanding judgment, and uncompromising integrity.

Typical duties would include:

  • Representing Nasdaq in SEC administrative proceedings;
  • Handling appeals from Nasdaq listing and delisting determinations, including proceedings before the Nasdaq Hearings Panel, the Nasdaq Listing and Hearing Review Council, and the SEC;
  • Drafting and reviewing briefs, motions, and other filings in connection with administrative proceedings and appeals;
  • Advising on and supporting Nasdaq's rule filings with the SEC related to listing standards, delisting procedures, and other matters arising from or connected to litigation and appellate work;
  • Assisting in the preparation of outside counsel prior to oral arguments and other court appearances, and occasionally appearing on behalf of Nasdaq in certain proceedings;
  • Coordinating with Nasdaq's Listing Qualifications, Hearings, and other business and compliance teams to develop positions, gather evidence, and prepare witnesses for administrative proceedings;
  • Briefing directors and senior management on actual or threatened litigation and regulatory investigations;
  • Advising senior management on developments in the law that may impact their business; and
  • Monitoring developments in SEC enforcement priorities, administrative procedure, and listing/delisting case law relevant to Nasdaq's business.

Required:

  • 2-5 years' minimum of relevant experience at a top-tier law firm, global financial or technology corporation, or government agency, with a focus on litigation, regulatory enforcement, administrative proceedings, or securities law; experience with SEC practice, administrative law, or exchange/SRO matters is a plus.
  • A J.D. or LLM degree from a top-ranked U.S. law school or foreign equivalent, and admission and good standing with one or more US state bars. This position will be located in Washington DC or New York and offers the opportunity for a hybrid work environment at least 3 days a week in-office, subject to change, providing flexibility and accessibility for qualified candidates.
