Our team of 1,500+ includes hundreds of engineers with deep expertise across hardware, software and AI R&D.\nThe role\nThe Corporate Development Manager, Capital Markets plays a central role in shaping and executing Nebius’s capital formation strategy across debt, equity-linked, asset-backed, and structured capital solutions. This role is responsible for supporting the company’s rapid expansion through financing strategy, transaction execution, and capital structure analysis. \nThe position requires strong technical expertise in capital markets, sound commercial judgment, and the ability to work effectively with senior internal stakeholders and external financing counterparties. The role will work closely with leadership as well as cross-functional teams including Legal, Finance, Treasury, Operations, and Infrastructure. Depending on business priorities, the role may also support selective M&A and strategic investment activity. \nYour responsibilities will include:\nManage end-to-end execution of financing transactions across debt, equity-linked, asset-backed, and structured capital solutions. \nSupport the development of Nebius’s capital structure strategy, including assessment of trade-offs across cost of capital, maturity profile, flexibility, and dilution. \nBuild and maintain detailed financial models to evaluate leverage capacity, scenario outcomes, and financing alternatives. \nPrepare high-quality board-level materials, financing proposals, and investment memoranda. \nLead cross-functional execution workstreams for complex financing transactions, coordinating internal stakeholders and external advisors. \nAct as a key point of contact with financing counterparties and other external stakeholders during transaction processes. \nProvide analytical support on broader corporate development initiatives, including selective M&A and strategic investment opportunities where relevant. \nMentor and support the development of junior members of the Corporate Development team. \nContribute to improving internal decision-making through clear analysis, strong commercial insight, and disciplined execution. \nWe expect you to have: \n7-10 years of relevant experience in investment banking, including DCM, ECM, Leveraged Finance, Structured Finance, or private credit. \nProven track record of independently leading financing transactions from structuring through closing. \nStrong experience across both US and European capital markets. \nDeep expertise across debt, equity-linked, asset-backed, and structured capital products. \nAdvanced financial modelling skills, including capital structure analysis, leverage assessment, and multi-scenario stress testing. \nStrong ability to prepare clear and credible materials for senior leadership and board-level audiences. \nExperience managing multiple high-priority workstreams in fast-paced, international environments. \nStrong stakeholder management skills and confidence in engaging with internal leadership and external financing partners. \nHigh level of ownership, judgment, and ability to operate effectively in ambiguity. \nPreferred qualifications: \nExperience in AI, high-growth technology, or digital infrastructure sectors. \nExposure to M&A processes and transaction evaluation. \nUnderstanding of post-deal integration considerations and broader corporate development activity. \nPrior experience mentoring or developing junior team members. \nIt will be an added bonus if you have: \nSector experience in AI, technology, software, or related industries.\nFamiliarity with the broader European, and US investment ecosystems.\nFluency in additional European languages. \nCompetencies & Traits:\nProactive, self-starter mindset with a strong sense of ownership.\nStrategic thinker with the ability to translate market insights into actionable opportunities.\nHigh level of business acumen and negotiation skills.\nCollaborative and able to work effectively across diverse teams and cultures.\nResilient under pressure and able to manage multiple high-stakes priorities. \nBenefits & Perks:\nCompetitive compensation\nCareer growth and learning opportunities\nFlexibility and ownership\nCollaborative and innovative culture\nOpportunity to work on impactful AI projects\nInternational environment and talented teams\nWhat's it like to work at Nebius:\nFast moving - Bold thinking - Constant growth - Meaningful impact - Trust and real ownership - Opportunity to shape the future of AI \nEqual Opportunity Statement:\nNebius is an equal opportunity employer.
