Our team of 1,500+ includes hundreds of engineers with deep expertise across hardware, software and AI R&D.\nThe role\nNebius is seeking an experienced and highly organized Senior Corporate Paralegal to join the Corporate & Governance legal team and manage the day-to-day governance and maintenance of our international group structure.\nThe role will support the full lifecycle of our subsidiaries, from incorporation and ongoing compliance to restructurings and liquidations. You will also support Nebius’s rapid international expansion by coordinating the establishment of entities in new countries and ensuring that our corporate records, governance processes and entity-management systems remain accurate and scalable.\nWorking closely with Legal, Finance, Tax, Compliance, HR and external advisors, you will operate with a high degree of autonomy in a fast-moving international environment.\nYour responsibilities will include: \nManage the corporate governance and ongoing maintenance of Nebius’s subsidiaries across multiple jurisdictions.\nCoordinate the incorporation of entities in new countries, including working with internal teams, local counsel and corporate service providers.\nPrepare and coordinate corporate decision-making, powers of attorney, director and officer appointments, constitutional amendments and other corporate documentation.\nMaintain accurate corporate records, organizational charts, entity information and governance calendars.\nSupport restructurings, financings, acquisitions and other corporate projects, including due diligence, approvals, signing and closing processes.\nRespond to corporate information, KYC and document requests from internal teams, banks, auditors, regulators and other external parties.\nLead corporate-law workstreams for entry into new jurisdictions by identifying required local documents, policies, registrations and decision points; instructing and managing external counsel for scope, quality and cost; and translating local advice into practical implementation steps.\nBuild and maintain scalable entity-management infrastructure, including global and local templates, checklists, country playbooks, launch checklists and approval workflows to support the continued growth of Nebius.\nSupport the Company Secretary with a variety of governance matters relating to Nebius Group N.V. and its principal subsidiaries.\nWe expect you to have: \nA relevant legal, paralegal or company-secretarial qualification, with a strong specialization in corporate law and/or corporate governance.\nAt least 7 years of relevant experience in corporate law or corporate governance, subsidiary management or corporate legal administration, gained in-house, at a law firm or with a corporate services provider.\nHands-on experience managing legal entities and corporate requirements across multiple jurisdictions.\nExperience preparing corporate approvals and maintaining corporate records, and compliance calendars.\nExperience with entity-management platforms, electronic-signature tools and corporate document-management systems.\nStrong written and spoken English.
