This role reports to the General Counsel, supporting and assisting on complex and escalated matters, and partners closely with Sales, Product, Security, and Compliance to facilitate deal execution while maintaining a balanced, practical approach to legal risk.\nThe ideal candidate has a strong foundation in public sector and SaaS agreements, is comfortable owning negotiations independently, and can collaborate effectively across business units.\nKey Responsibilities\nContract Drafting & Negotiation\nPrimarily own end-to-end drafting, review, and negotiation of sales agreements, including SaaS subscription agreements, MSAs, and amendments; state and local government contracts, including RFP-driven agreements; escalating to General Counsel only when necessary.\n\nAssist on more complicated sales/tech agreements including subcontractor, reseller, and partner agreements, as well as DPAs, security addenda, and SLAs.\n\nNegotiate key risk provisions, including limitation of liability, indemnification, and insurance; data privacy, security, and breach-related terms; and confidentiality, IP, and data ownership.\n\nManage multiple concurrent contracts, maintaining consistency with company standards and risk positions, and escalate complex or high-risk matters to the General Counsel for final review.\n\nGovernment Contracting Support\nReview and respond to public sector solicitations (RFPs, RFQs, etc.).\n\nIdentify and escalate non-standard or high-risk government terms.\n\nSupport compliance with applicable procurement rules, grant requirements, and data/security obligations.\n\nAnalyze subcontracting and flow-down provisions in partner agreements.\n\nCross-Functional Collaboration\nPartner with Sales and Finance to support deal structuring and execution (including renewals) provide practical legal guidance, resolve contract issues during negotiation, and communicate legal concepts clearly to non-legal stakeholders.\n\nProvide first-pass legal support on complex sales-related matters touching Product, Security, or Compliance, with final review by the General Counsel.\n\nProcess & Risk Management\nContribute to contract templates, playbooks, and standard positions.\n\nTrack and flag recurring negotiation issues or trends, and report relevant patterns to the General Counsel.\n\nSupport internal compliance efforts, including data privacy and security practices.\n\nQualifications\nRequired\nJ.D. from an accredited law school and active bar membership in good standing.\n\n7+ years of relevant experience, including commercial contracting in a law firm or in-house environment, and direct experience with SaaS or technology agreements.\n\nExposure to government contracting (state/local strongly preferred).\n\nStrong drafting and negotiation skills, with the judgment to operate independently on complex matters.\n\nAbility to manage multiple priorities and competing deadlines in a fast-paced environment.\n\nPreferred\nExperience working directly with public sector clients (cities, counties, state agencies).\n\nFamiliarity with data privacy and security terms in SaaS agreements.\n\nFamiliarity with SOC 2 or similar compliance frameworks.\n\nExperience with subcontracting, reseller, or partner models.\n\nComfort advising on legal issues raised by new or emerging technology and products.\n\nWhy You’ll Love Working Here:\nComprehensive Benefits - Medical, Dental, Vision plan options and Company-Paid Short-Term Disability and Life Insurance\n\n401K Contributions - Generous employer match with immediate vesting\n\nGenerous Time Off - 5 weeks of PTO, 9 paid holidays, and 3 days of volunteer time off each year\n\nNeighborly Software is an Equal Opportunity Employer.
