With multiple gigawatts currently under construction, we are enabling grid-safe data centers.\nWe are seeking a Manager to join the Corporate Development team, focused on project and structured finance, reporting to the Head of Investment Finance. This role will drive ON.energy’s development and structuring of new business models and financing strategies, owning the modeling, contracting, and lender relationships behind offerings that expand how customers deploy our technology. Beyond structured finance, you will also contribute to broader corporate development initiatives, including capital raising, M&A, and board and investor materials.\nThis role is suited for candidates with 4+ years of experience in project finance, structured finance, or infrastructure investing, a track record of taking financings from term sheet to close, and a desire to take on significant responsibility at a rapidly growing, category-defining company at the intersection of energy, digital infrastructure, and AI-driven power demand. The ideal candidate is a hard-working self-starter who combines strong technical skills with sound commercial judgment, is comfortable building structures where there is no established playbook, and can represent ON.energy credibly with banks, lenders, and investors.\nYou will join a small, high-impact team where ownership is real and the pace matches the opportunity, with direct visibility to senior leadership, the board, and external stakeholders. This is a hybrid role with a minimum of three days per week in our New York office and up to 10% travel.\nKey Responsibilities\nProject Finance Modeling\nOwn ON.energy’s project finance models end to end, including cash flow waterfalls, debt sizing and sculpting, coverage ratios, reserve accounts, tax attributes, and returns\nRun sensitivity and scenario analyses to inform pricing, structuring, and investment decisions\nSet modeling standards and prepare models for lender diligence and third-party model audit\nTranslate model outputs into clear materials for senior leadership, investment committees, and lenders\nStructuring and Execution\nDrive the financial structuring of new commercial offerings for ON.energy’s products, evaluating ownership, contracting, and capital structures and their impact on returns, risk allocation, credit, tax, and accounting\nRun financing processes from term sheet through financial close, including lender outreach, diligence, documentation, and conditions precedent\nEvaluate financing alternatives across construction and term debt, back-leverage, private credit, and tax credit monetization\nCoordinate legal, tax, accounting, insurance, and independent engineering advisors through execution\nContracts and Risk Allocation\nReview and negotiate key financing and commercial agreements through a bankability lens, including credit agreements, long-term customer contracts, supply and EPC agreements, O&M and service agreements, warranties, and performance guarantees\nAssess counterparty credit quality and risk allocation across contract structures, and work with Legal and Commercial teams to align contract terms with financing requirements\nManage post-close obligations, including lender reporting, covenant compliance, and amendments\nLender and Capital Markets Relationships\nBuild and maintain relationships with project finance, structured finance, and debt capital markets (DCM) teams at banks, private credit funds, infrastructure investors, and institutional lenders\nServe as a key point of contact for lenders through diligence, execution, and asset management\nTrack financing market conditions, including pricing, tenor, leverage, and covenant terms, and bring that perspective into structuring and commercial pricing decisions\nQualifications\nRequired\nBachelor’s degree in Finance, Economics, Accounting, Engineering, or a related field\n4+ years of experience in project finance, structured finance, or infrastructure investing at a bank, infrastructure or private credit fund, developer/IPP, or advisory firm\nDemonstrated deal experience, including multiple asset-level financings (e.g., construction and term debt, back-leverage, warehouse facilities, or securitizations) taken from term sheet to financial close\nExpert technical skills, including the ability to build and audit project finance models from scratch with a deep understanding of CFADS, debt sizing and sculpting, DSCR, reserve mechanics, and cash flow waterfalls\nStrong command of project finance structuring and documentation, including credit agreements, intercreditor and security arrangements, offtake and long-term customer contracts, EPC, and O&M agreements\nExcellent communication and negotiation skills, with the ability to represent ON.energy with lenders, investors, and counterparties\nSelf-starter with a strong work ethic and a high degree of ownership, able to operate independently and build processes from scratch on a lean team\nAdvanced proficiency in Excel and PowerPoint\nStrongly Preferred\nExperience in energy storage, power generation, data centers, or digital infrastructure\nExperience with tax equity, ITC transferability, or other tax credit monetization structures\nExperience with private placements, securitization, or other DCM execution\nExperience structuring first-of-a-kind financings, new asset classes, or novel commercial structures\nCompletion of a formal analyst program at a bank\nFor US-based roles - What you’ll get:\nCompetitive salary + annual performance-based bonus eligibility\nMedical, dental, and vision insurance\n401(k) with company match\nPaid time off and company holidays \nFor Mexico-based roles - What you’ll get:\nCompetitive salary + annual performance bonus eligibility\nChristmas Bonus (Aguinaldo): 30 days\nMajor medical expenses and life insurance\nPaid time off and holidays (per local policy)\nFor all roles:\nProfessional development and growth opportunities\nOpportunity to grow with a mission-driven team shaping the future of clean energy\nEqual Opportunity: ON.energy is committed to equal employment opportunity and to maintaining a work environment free of harassment, discrimination, or retaliation.\nBenefits vary by role and location and are subject to change.\nAgency Notice: ON.energy does not accept unsolicited resumes from staffing agencies, search firms, or third-party recruiters.
