You’ll work closely with leadership and cross-functional teams to help the organization make informed decisions, protect its interests, and operate within applicable legal and regulatory requirements.\nYou’ll take ownership of commercial contract drafting and negotiation, corporate governance, legal research and advisory, regulatory compliance, dispute coordination, and legal risk strong fit.\nWhat You’ll Own\nCommercial Contracts - Drafting, Review & Negotiation\nDraft, review, revise, and negotiate:\nNDAs\nMaster Service Agreements (MSAs)\nService agreements\nVendor agreements\nEmployment agreements\nCommercial contracts\nLeases\nOther business agreements\nIdentify unfavorable, ambiguous, or high-risk contractual provisions\nRecommend practical revisions and risk-mitigation strategies\nSupport leadership during commercial negotiations\nBalance appropriate legal protection with business objectives\nMaintain accurate contract versions, approvals, and executed agreements\nLegal Research & Business Advisory\nConduct legal research using resources such as:\nWestlaw\nLexisNexis\nPractical Law\nResearch applicable laws, regulations, and case law\nTranslate complex legal issues into clear, actionable business guidance\nAdvise leadership and internal stakeholders on legal and operational risks\nHelp teams make commercially practical decisions while maintaining appropriate legal protections\nPrepare legal memoranda and recommendations when required\nCorporate Governance\nDraft and maintain:\nCorporate resolutions\nOperating agreements\nGovernance documents\nCorporate records and filings\nSupport entity governance and corporate housekeeping\nMaintain accurate and organized legal records\nAssist leadership with governance-related requirements and documentation\nHelp ensure corporate actions are properly documented\nCompliance & Risk Management\nMonitor relevant regulatory and compliance requirements\nSupport matters involving areas such as:\nEmployment law\nData privacy\nGDPR\nHIPAA\nFTC requirements\nSOX\nIndustry-specific regulations\nHelp develop and maintain internal policies and compliance procedures\nIdentify potential legal exposure before it becomes a larger business risk\nMaintain organized, audit-ready compliance documentation\nRecommend practical approaches to reducing legal and regulatory risk\nDisputes & Litigation Support\nDraft legal correspondence and litigation-related documentation when required\nAssist with:\nPleadings\nMotions\nDiscovery responses\nCase documentation\nCoordinate matters with outside counsel\nTrack litigation deadlines and required filings\nSupport dispute-resolution and risk-mitigation strategies\nMaintain accurate records of active legal matters\nLegal Operations & Documentation\nMaintain organized and secure:\nLegal files\nContract databases\nCompliance records\nMatter documentation\nImprove contract and legal review workflows\nStandardize templates and recurring legal processes\nMaintain clear tracking of legal matters and deadlines\nEnsure documentation remains searchable, current, and audit-ready\nRequirements\n Juris Doctor (JD) or equivalent law degree\nActive bar admission in at least one U.S. jurisdiction\n3+ years of legal practice experience within a law firm, corporate legal department, or similar environment\nDemonstrated experience drafting, reviewing, and negotiating commercial agreements\nExperience providing legal and compliance guidance\nStrong understanding of corporate and commercial legal matters\nExcellent legal research and analytical skills\nStrong written and verbal English communication\nAbility to independently manage multiple legal matters and competing deadlines\nHigh standards of confidentiality, ethics, discretion, and professional judgment\nAbility to work during U.S. client business hours\nNice to Have\nPrior in-house counsel
