This corporate attorney role centers on transactional work and ongoing advisory counsel. The associate prepares and negotiates agreements, leads deal execution, and serves as a direct point of contact for clients with considerable independence.\nWhat you'll do\n- Provide day-to-day counsel to a portfolio of clients.\n- Lead financing transactions from start to finish, including drafting the principal agreements.\n- Counsel clients on governance, equity compensation, employment questions and commercial contracts.\n- Prepare board consents and guide executives through employment agreements and separations.\n- Work directly with senior colleagues on complex transactions with significant ownership.\n- Manage client relationships directly as a trusted adviser.\nRequirements\nWhat we're looking for\n- Three or more years in a consistent corporate practice at a large law firm.\n- Experience handling roughly 15 or more financing transactions a year, including at least five equity rounds where the candidate led drafting.\n- Juris Doctor from an accredited law school.\n- Hands-on experience drafting and negotiating financing documents, including convertible instruments and priced equity rounds.\n- Skill with cap table management and disclosure schedules.\n- Comfort owning client relationships directly and independently.\n- Comfort with a target of 1,200+ billable hours.\n- Ability to start immediately.\nBonus points\n- Experience serving as a primary day-to-day contact for a large client portfolio.\n- Experience with sell-side strategic M&A transactions.\n- Pro forma financial modeling experience.\nBenefits\nCompensation and benefits\n- Base salary: $152K -
