You will be the legal point of contact for every acquisition, strategic investment and joint venture, working day to day with our Corporate Development team from first conversation through integration. You will own deals end to end: setting structure and strategy, running diligence, negotiating definitive agreements, and making sure acquired businesses are fully absorbed after closing.\nYou will also be a core member of the Corporate & Securities team, supporting the Associate General Counsel, Corporate & Securities on financings, equity, governance and entity management. This is a builder role: we need someone who can close a deal on a compressed timeline and also write the playbook so the next one closes faster.\nResponsibilities\nM&A and Strategic Transactions\nServe as the lead lawyer and legal point of contact for Corporate Development on acquisitions, strategic and minority investments, joint ventures and acqui-hires.\n\nTriage the deal pipeline with Corp Dev: give early, practical views on structure, legal risk and deal-breakers so the business can move quickly.\n\nDraft and negotiate NDAs, LOIs and term sheets, purchase and merger agreements, disclosure schedules, transition services agreements and ancillary documents.\n\nAdvise on deal structure and economics, including stock vs. asset deals, earnouts, escrows and holdbacks, rollover equity, and retention and key-employee arrangements.\n\nRun diligence end to end: build scoping memos, manage the data room, coordinate subject-matter experts (IP, employment, tax, environmental, real estate, government contracts) and turn findings into deal protections and integration actions.\n\nLead acquisitions of industrial and manufacturing assets (shipyards, production facilities and suppliers), coordinating real estate, environmental, permitting and workforce issues.\n\nPartner with Corp Dev, Finance and People on integration: Day 1 readiness, contract assignments and consents, entity cleanup, policy rollout, and 30/60/100-day legal integration plans.\n\nBuild Saronic’s M&A infrastructure: template LOIs and purchase agreements, a diligence request list and playbook, an approval and signing matrix, deal checklists, and post-mortems after each deal.\n\nCorporate and Securities\nSupport equity and debt financings, including preferred stock rounds, convertible instruments, venture debt and credit facilities.\n\nSupport board and committee operations: materials, minutes, written consents and approvals for transactions and equity issuances.\n\nHelp manage securities compliance for a late-stage private company, including Reg D and Rule 701 exemptions, secondary sales and tender offers, and insider-trading policy.\n\nSupport equity administration with Finance and People (Carta, 409A process, grant approvals) and subsidiary and entity management across jurisdictions.\n\nCross-Functional Partnership\n\nBe a trusted, embedded partner to Corporate Development, Finance, Tax and People and to senior leadership on high-stakes decisions.\n\nTranslate legal risk into clear business recommendations, giving answers and options rather than memos.\n\nQualifications\nJuris Doctor from an accredited law school and active membership in good standing with at least one U.S. state bar.\n\n8+ years of corporate and transactional experience, including meaningful time in the M&A practice of a top-tier law firm.\n\nA track record of leading M&A deals end to end as the primary day-to-day lawyer, from LOI through closing and integration, not only supporting diligence.\n\nStrong grounding in private company equity, venture financings and corporate governance.\n\nSound commercial judgment: you know which issues are worth fighting over and can give clear calls under time pressure with incomplete information.\n\nExcellent drafting, negotiation and communication skills, with comfort advising executives and working across functions.\n\nPhysical Demands\nProlonged periods of sitting at a desk and working on a computer\n\nOccasional standing and walking within the office\n\nManual dexterity to operate a computer keyboard, mouse, and other office equipment\n\nVisual acuity to read screens, documents, and reports\n\nOccasional reaching, bending, or stooping to access file drawers, cabinets, or office supplies\n\nLifting and carrying items up to 20 pounds occasionally (e.g., office supplies, packages)\n\nBenefits\nMedical Insurance: Comprehensive health insurance plans covering a range of services\nSaronic pays 100% of the premium for employees and 80% for dependents\nDental and Vision Insurance: Coverage for routine dental check-ups, orthodontics, and vision care\nSaronic pays 100% of the premium under the basic plan for employees and 80% for dependents\nTime Off: Generous PTO and Holidays\nParental Leave: Paid maternity and paternity leave to support new parents\nCompetitive Salary: Industry-standard salaries with opportunities for performance-based bonuses\nRetirement Plan: 401(k) plan with company match\nStock Options: Equity options to give employees a stake in the company’s success\nLife and Disability Insurance: Basic life insurance and short- and long-term disability coverage\nPet Insurance: Discounted pet insurance options including 24/7 Telehealth helpline\nAdditional Perks: Free lunch benefit and unlimited free drinks and snacks in the office\nSaronic CCPA Notice for Candidates and California Employees\nIf this role is based in the United States, it requires access to export-controlled information or items that require “U.S. Person” status.
