The team is responsible for providing accurate and risk mitigating advice aligned with Sinch’s best interests and guided by Sinch’s ethical standards of doing business. The team responds to high priority topics and works on challenging legal issues in a fast-paced environment.\nJob Role\nThis is an individual contributor position and will report to the India legal head. To be successful in this role, you should have hands on experience in independently handling company secretarial matters and you should be comfortable working in a dynamic environment.\nKey Responsibilities\nBe responsible for compliance with secretarial standards and applicable law; specifically, the Companies Act and the Foreign Exchange Management Ac\nDevelop and oversee systems that ensure compliance with applicable law.\nBe abreast with regulatory and/or statutory changes that may affect the company and ensure that corresponding policies are updated and are approved.\nCorporate Governance\nImplement processes and systems to ensure good corporate governance.\nProactively provide strategic advice including advice on corporate governance matters.\nLiaise with regulators and communicate with external professionals involved in corporate governance, such as auditors.\nBoard Meetings and Shareholders Meetings\nConvene and provide administration for board meetings and shareholders meetings.\nPrepare agendas, take minutes, prepare resolutions, convey decisions and handle meeting correspondence.\nMaintain statutory books, including statutory registers and records.\nUndertake annual filings and event driven filings and returns with regulators such as, Ministry of Corporate Affairs, Reserve Bank of India.\nCoordinate with law enforcement authorities and investigation agencies as part of Sinch India’s VMN fraud handling efforts.\nQualifying Criteria\nMembership with the Institute of Company Secretaries of India.\nMinimum 5 years of relevant demonstrable experience with multinational.\nStrong subject matter knowledge.\nComfortable to work in a hybrid working model (3 days WFO) at Sinch India HO - Sec, 132, Noida.\nSkills\nStrong English written and verbal communication skills.\nImpeccable integrity - ethical and honest in all respects.\nSelf-starter having attention to detail and high levels of accuracy.\nBe able to work independently and manage multiple priorities and projects with firm deadlines.\nBeing you at Sinch:\nWe're a worldwide group of people, committed to diversity.
