Sourcepass is owned and operated by technology, security, and managed services experts who are passionate about delivering an IT experience that clients love.\nPosition\nWe are looking for an energetic and creative thinking General Counsel to optimize our organizational efficiency in the areas of Mergers & Acquisitions, Organizational Structuring, and Employment Law. The General Counsel will examine, advise on, and draft IT, employment, real estate and vendor contracts, manage copyrights and trademarks, and preserve business records. The General Counsel will ensure legal compliance regarding mergers and acquisitions (M&A) activity, while overseeing compliance with corporate governance, and establish the prudence of defending lawsuits and prosecuting.\nTo ensure success the General Counsel must have sound knowledge and understanding of applicable laws and regulations, and the ability to make prudent legal decisions. This role must serve as a team player with outstanding advocacy and people skills.\nThis role is Monday through Friday, based in our Melville office, with a hybrid work arrangement.\nResponsibilities\nAdvising executive, senior management and board on various matters such as legal rights, new and existing laws, and mergers & acquisitions \nManaging organization's legal matters \nRepresenting the organization in merger & acquisition events \nCreating new entities and managing organization’s intellectual property \nExamining and creating draft agreements, such as employment and vendor agreements \nMaintaining knowledge of organization’s operations and legal documents \nConducting legal research and reviewing company's litigation strategy pertaining to legal actions \nPromulgating and creating directives of corporate acts and decisions \nPreserving all corporate records \nHandling statutory filings, such as licensing forms \nLiaising with outside counsel regarding their assignments \nRequirements\nJuris Doctor degree from accredited law school \n4+ years of practice with an established law firm \nProficient legal experience in fund investments, venture capital financing and M&A \nExperience with corporate governance issues and corporate secretarial duties \nExcellent verbal and written communication skills \nKnowledge of statutes, rules and regulations pertaining to businesses \nProficient understanding of business sensitivities and confidentiality \n Sourcepass participates in the E-Verify program.
