It is important to us that each and every Spherion is not only eager to challenge themselves and knows how to get work done but is an awesome addition to our company culture.\nPrimary responsibilities for the Corporate Counsel team will be to play a key role in Sphera’s continuing growth and success, by serving as a valued partner to company leaders in the Sales and other business teams, and in establishing and maintaining strong and profitable client relationships.\nThe Corporate Counsel will work with and support the General Counsel, the Associate General Counsel, the Senior Corporate Counsel, and other in-house legal team members.\nWhat you’ll do \nPartner with senior legal team members to support the commercial needs of Sphera’s fast-growing global operations, including developing and maintaining working knowledge of Sphera’s business by building positive relationships with the relevant business team members. \nAs requested, provide counsel to members of HR, Finance, IT, Services, Product or Marketing teams on legal matters, as appropriate (including employment law, intellectual property, compliance, corporate governance and subsidiary management, M&A, data privacy, dispute resolution and/or others). \nIn collaboration with legal team leaders, interact with global outside counsel, as appropriate. \nReview and prepare complex commercial agreements, including SaaS/software, professional services, consulting, licensing and vendor agreements, as well as a wide variety of other types of legal documents and contracts, with global and regional scope. \nSupport legal team leaders on implementing and maintaining team processes that align with business strategy. \nMay manage contract managers or paralegals. \nEnsure that day-to-day work aligns with company and team policies \nWhat you’ll need\nExperience working with global teams at a multinational business, including experience addressing cross-border legal issues. \nMinimum of 6 years relevant professional experience (including in-house at a multinational company; additional law firm or equivalent experience required) \nDemonstrated ability to understand and clearly communicate complex legal issues to business teams and counterparties. \nDemonstrated project management skills. \nDemonstrated ability to develop collaborative and successful relationships with members of the sales organization, including in managing B2B contracts (SaaS experience preferred). \nExcellent writing, negotiation and drafting skills. \nGood knowledge of data privacy, security, and IP issues relevant to SaaS/software providers. \nKnowledge of one or more other substantive areas is required: employment law, corporate governance/subsidiary management, compliance, M&A or others. \nDemonstrated ability to flag issues and propose solutions to complex problems. \nExcellent attention to detail. \nProactive team player. \nAbility to work in a fast-paced environment and maintain poise in stressful situations. \nJD or other equivalent law degree required. (Common law education or equivalent knowledge is strongly preferred.)
