By hiring the best and brightest minds-and that’s why we want you!\nJob Description:\nWhat will you work on?\nAs Associate Counsel, you will provide expert counsel in the areas of securities, treasury/finance, tax, M&A, corporate governance, as well as assisting and advising on special legal projects and initiatives and ad-hoc projects.\nHow will you create impact?\nSecurities - Assist with compliance with applicable Canadian securities and stock exchange requirements; advising on continuous disclosure obligations, draft and review proxy circular and continuous disclosure documents.\nTreasury/Finance - Assist with legal aspects of public offerings, banking/credit facility matters, dividend, share buyback program and other treasury matters.\nTax - Assist with legal analyses and documentation related to intercompany restructurings, intercompany agreements and corporate housekeeping matters.\n M&A - Assist with mergers, acquisitions, and divestitures from Letter of Intent (LOI) through due diligence, negotiation, and closing; draft, review, and negotiate complex commercial agreements, purchase agreements, and disclosure schedules; and partner with internal business leaders, finance, and HR teams on integration.\n Corporate Governance\nManage governance projects across multiple countries, ensuring timely and efficient execution\nDraft and review corporate agreements, resolutions, and documentation and support internal corporate restructurings and reorganizations\nRespond to information requests, manage corporate history records, collaborate with various Corporate Departments (Tax, Treasury, HR, Accounting) and liaise with external legal counsel, advisors, and agents\nOther - Help with Legal special projects and initiatives; manage outside counsel involved in certain transactions and projects; other duties as assigned.\nWhat are your skills and experience?\nLL.B. or J.D. in good standing, called to the Bar of a Canadian province, membership in an applicable law society or bar association.\nLicensed to practice law in Ontario.\n3-5 years of legal experience in corporate law, securities and M&A.\nStrong knowledge of continuous disclosure, corporate finance and governance. Knowledge of and experience with intellectual property laws would be considered a strong asset.\nExcellent organizational, communication, and project management skills.\nStrong attention to detail and ability to manage multiple priorities.\nAbility to work independently and collaboratively in a global environment.\nStrong drafting skills commensurate with year of call.\n#LI-Hybrid #LI-HM1\nThe anticipated pay range for candidates who will work in Ontario is $118,600 to $158,100 Per Annum.
