The successful candidate will touch nearly every area of the Company's corporate legal work, from capital markets and financing transactions to corporate governance, securities compliance, financial regulatory, and tax matters. Strategy is the world's largest corporate holder of bitcoin, and bitcoin sits at the center of the Company's corporate strategy. Candidates should bring genuine enthusiasm for bitcoin and the Company's treasury strategy, in addition to strong corporate legal skills.\nLocation: Onsite at the Tysons, VA HQ 4 days a week\nYour Focus\nGrowth-Centric Mindset. Demonstrate a growth-centric mindset in your day-to-day work to protect and promote the business, focusing on closing business-enabling deals, being comfortable using your judgment, doing things in a way that's best for the business, seeking simplicity, trusting others to do their job, knowing when good is good enough, and considering your intended audience in what you do. \nCapital Markets and Financing Transactions. Support complex capital markets and financing transactions across the deal lifecycle - from planning through closing - including drafting and negotiating operative documents, tracking statutory and contractual obligations, and advising the business on related legal issues, risks, and strategy. \nBitcoin-Related Initiatives. Support strategic Bitcoin initiatives, including treasury reserve management and matters related to Bitcoin development, education, and advocacy; help the Company navigate the evolving legal and regulatory landscape around digital assets. \nCorporate Transactions & M&A. Support general corporate transactional matters beyond capital markets, including mergers and acquisitions, joint ventures, corporate reorganizations, and entity formation and dissolution, both domestically and internationally. \nGeneral Corporate and Governance. Assist with corporate governance matters, including board and committee meeting materials, minutes, and resolutions; help develop corporate governance policies and legal controls that support sound governance practices; manage the Company's domestic and international subsidiary governance function. \nSecurities Law and Regulatory Compliance. Advise on compliance with federal and state securities laws, including reporting and disclosure requirements; contribute to and collaborate with other Strategy departments on the preparation and review of SEC filings, including proxy statements, Forms 10-K, 10-Q, and 8-K, and Section 16 filings; support investor relations and external communications, including press releases, earnings announcements and scripts, investor presentations, and other marketing materials; monitor and interpret regulatory developments affecting the Company's operations. \nCommercial Matters. Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, non-disclosure agreements, and other operational agreements. \nFinance & Tax. Work closely with Finance, Treasury, and Tax on banking and investment matters, corporate aircraft matters, employee equity matters, intercompany agreements, tax planning, internal controls, and enterprise risk management. \nExternal Counsel Management. Help manage external legal counsel effectively and within budget. \nJ.D. from a U.S. accredited law school. \nLicensed to practice law in at least one U.S. jurisdiction. \n3-6 years of corporate experience with a national law firm and/or in-house legal department. \nBroad corporate transactional experience, including capital markets/financing transactions, M&A, and general corporate; candidates with a mix of these are especially well suited to this role's broad mandate. \nFinancial regulatory or other adjacent regulatory experience (such as securities, banking, broker-dealer, investment adviser, or digital-asset/commodities regulatory matters) is also welcome. \nExposure to corporate governance matters and publicly traded companies, including familiarity with the Securities Act of 1933, the Securities Exchange Act of 1934, and the Sarbanes-Oxley Act, is preferred. \nA genuine passion for and interest in Bitcoin is essential; the successful candidate will be excited to engage with the Company's Bitcoin strategy. \nAbility to manage a fast-paced workload and add value across multiple projects simultaneously. \nSelf-starter who shows project ownership and enjoys working across departments. \nSuperior communication and interpersonal skills and judgment. \nCompensation\nThe base salary range for this role is $135,600 to $244,200 and represents a good faith estimate of the range at the time of posting. Strategy maintains broad salary ranges to account for differences in skills, experience, qualifications, internal peer equity, market conditions, and business needs. Candidates are typically placed within the range based on these factors, and it is not common for individuals to be hired at or near the top of the range.\nThe posted range reflects base salary only.
