Additionally, demonstrate a collaborative spirit, knowing that we ‘Thrive together’ and support each other’s journeys.”\nKey responsibilities:\n1] Contract Drafting and Negotiation\nDraft, review, negotiate, and finalize various commercial contracts, including:\nSupply and procurement agreements;\nManufacturing and contract manufacturing agreements;\nDistribution and marketing agreements;\nTechnology transfer agreements;\nClinical trial agreements;\nConfidentiality and Non-Disclosure Agreements (NDAs);\nService agreements and consultancy contracts;\nLicensing and collaboration agreements;\nVendor and customer contracts;\nBanking Agreements and M&A transaction agreements (Optional).\nLead contract negotiations with domestic and international counterparties.\nEnsure contract terms adequately protect the Company's legal, commercial, and reputational interests.\nProvide practical legal solutions to facilitate business objectives while managing legal risks.\nDevelop and maintain standard contract templates and playbooks.\n2] Legal Risk Management\nIdentify and assess contractual, commercial, and regulatory risks.\nAdvise business stakeholders on risk allocation, liability provisions, indemnities, warranties, limitation of liability, intellectual property, and dispute resolution clauses.\nEnsure consistency of contractual terms with Company policies and risk management guidelines.\nEscalate significant legal and commercial risks to senior management where appropriate.\n3] Stakeholder Support\nWork closely with Procurement, Commercial, Manufacturing, R&D, Quality, Regulatory Affairs, Finance, and Supply Chain teams.\nProvide legal support during vendor selection, tendering processes, and commercial negotiations.\nAdvise internal stakeholders on contractual rights, obligations, and compliance requirements.\n4] Compliance and Governance\nEnsure contracts comply with applicable laws, regulations, and industry standards.\nSupport implementation of contract governance and approval processes.\nMaintain accurate contract records and monitor contractual obligations.\nAssist in legal and compliance audits related to contracting activities.\n5] Process Improvement\nDrive efficiency in contract lifecycle management.\nDevelop and deliver contract-related training programs for business teams.\nMonitor legal developments affecting commercial contracting within the pharmaceutical industry.\n\nTravel Estimate\n\nJob Requirements\n\nEducational Qualification\n\nLLB/LLM\n\nExperience\n\nTenure: 3 to 5 years\n\nYour Success Matters to Us\nAt Sun Pharma, your success and well-being are our top priorities!
